  • The company remains out of compliance with Nasdaq’s US$1.00 minimum bid price rule and warns there is no assurance it will regain compliance or continue to meet Nasdaq listing requirements, highlighting an ongoing delisting risk.

Filing Explained

Compliance remains unresolved; Nasdaq requires a US$1 closing bid for 10 consecutive business days before confirming resolution.

DeFi Technologies is in a second Nasdaq compliance period for its minimum bid-price deficiency, while its common shares remain listed and trading on Nasdaq.

The filing states that the initial compliance period ran through September 1, 2026, after Nasdaq found the closing bid below US$1.00 for 30 consecutive business days as of March 4, 2026.

Compliance is not restored merely by receiving the extension: Nasdaq will require a closing bid of at least US$1.00 for 10 consecutive business days before providing written confirmation that the matter is closed.

Additional compliance period length 180 calendar days Extension granted by Nasdaq to regain minimum bid price compliance
New compliance deadline March 1, 2027 End of the additional 180-day period to regain compliance
Minimum bid price threshold US$1.00 per share Required closing bid price to satisfy Nasdaq Listing Rule 5550(a)(2)
Minimum period at or above threshold 10 consecutive business days Duration the closing bid must meet or exceed US$1.00 to regain compliance
Initial non-compliance window 30 consecutive business days Period during which the bid price was below US$1.00 as of March 4, 2026
Initial compliance deadline September 1, 2026 End of the first 180-day period previously granted by Nasdaq
Minimum Bid Price Rule regulatory
"to regain compliance with Nasdaq's minimum bid price requirement under Nasdaq Listing Rule 5550(a)(2)"
A minimum bid price rule is a stock market requirement that a listed company's share must trade above a set minimum price over a specified period to remain listed on an exchange. It matters to investors because falling below that threshold can trigger warnings, potential delisting, and reduced liquidity—similar to a student needing a passing grade to stay enrolled—making the shares harder to buy, sell, or value accurately.
The Nasdaq Capital Market regulatory
"continued listing requirement for market value of publicly held shares and all other applicable initial listing standards for The Nasdaq Capital Market"
A tier of the Nasdaq stock exchange that hosts smaller or early-stage public companies that meet defined listing standards for size, share price and governance. Think of it as a particular shelf in a store for emerging brands: it gives investors a centralized place to find and trade these stocks while signaling that the companies meet basic regulatory and financial rules. Investors watch it for growth opportunities and higher volatility compared with larger markets.
forward-looking information regulatory
"This press release contains forward-looking information within the meaning of applicable Canadian and U.S. securities legislation"
Forward-looking information are predictions, plans, estimates or expectations about a company’s future performance, results or events, such as sales forecasts, project timelines, or anticipated costs. It matters to investors because these statements guide expectations but rely on assumptions and uncertain factors—like a weather forecast for a business—so investors should treat them as informed guesses rather than guarantees and consider the risks and possible changes behind the numbers.
exchange traded products financial
"issues exchange traded products ("ETPs") that enable retail and institutional investors to access digital assets"
Exchange traded products are securities that trade on stock exchanges and are designed to track the price of an asset, index, or investment strategy—think of them as a single basket you can buy that represents many underlying things like stocks, bonds, or commodities. They matter to investors because they offer an easy, often lower-cost way to get broad or targeted market exposure and can be bought or sold throughout the trading day like a regular share, making diversification and tactical moves simpler.
digital asset economy financial
"regulated access to the digital asset economy through investment products, trading and liquidity infrastructure"
A digital asset economy is the network of technologies, markets and rules where value is created, traded and stored in purely digital form — for example cryptocurrencies, tokenized securities, digital collectibles and the platforms that support them. It matters to investors because it changes how ownership, liquidity and risk work: like a new kind of marketplace and bank rolled into software, it can open faster trading and new assets but also brings different volatility, custody and regulatory questions.

If, at any time during the additional compliance period, the closing bid price of the Company's common shares is at least US$1.00 per share for a minimum of ten consecutive business days, Nasdaq will provide written confirmation that the Company has regained compliance, and the matter will be closed.

As previously disclosed, the Company received an initial notification from Nasdaq dated March 5, 2026, indicating that the minimum bid price per share of its common shares had been below US$1.00 for 30 consecutive business days as of March 4, 2026. The Company was provided an initial 180-calendar-day compliance period, through September 1, 2026, to regain compliance with the Minimum Bid Price Rule.

The Company intends to continue monitoring the closing bid price of its common shares and will evaluate available options during the second compliance period to cure the deficiency and regain compliance with the Minimum Bid Price Rule.

There can be no assurance that the Company will regain compliance within the additional compliance period or otherwise maintain compliance with Nasdaq's continued listing requirements.
