Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

T3 Defense Inc. (DFNS) says it believes it has regained compliance with Nasdaq’s $10 million stockholders’ equity requirement after holders exercised approximately 96% of outstanding warrants as of September 30, 2026. The common warrants, issued in a $20 million private placement on February 24, 2026, were classified as liabilities and remeasured at fair value each reporting quarter. The reported warrant liability was approximately $24.5 million at December 31, 2025, and approximately $124.4 million at June 30, 2026; reported stockholders’ equity moved from approximately $42.5 million at March 31, 2026, to a deficit of approximately $19.7 million at June 30, 2026.

After giving effect to warrant exercises, the company reported pro forma stockholders’ equity of approximately $99.9 million. T3 Defense has asked Nasdaq to resolve the deficiency and confirm compliance. Nasdaq will continue monitoring; if the company does not evidence compliance in its next periodic report, it may be subject to delisting. The next report is its Form 10-Q for the quarter ending September 30, 2026.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Item 7.01 Regulation FD Disclosure.

T3 Defense Inc., a Delaware corporation (the “Company”) announces it has regained compliance with Nasdaq’s Stockholders' Equity Requirement.

As previously disclosed, on August 20, 2026, the Company, received a written notice (the “Notice”) from the Listing Qualifications Department of The Nasdaq Stock Market, LLC ("Nasdaq") notifying the Company that it is not in compliance with the minimum stockholders' equity requirement set forth in Nasdaq Listing Rule 5450(b)(1)(A) for continued listing on The Nasdaq Global Market (the “Stockholders' Equity Requirement”). Nasdaq Listing Rule 5450(b)(1)(A) requires listed securities to maintain a minimum stockholders' equity of $10,000,000. Based on the stockholders' equity reported in the Form 10-Q for the period ended June 30, 2026, the Company no longer satisfied the minimum stockholders' equity requirement.

The Company subsequently submitted to Nasdaq a plan to regain compliance with the Stockholders' Equity Requirement. Notwithstanding that the Company requested an extension of up to 180 calendar days from the date of the Notice to evidence compliance, the Company explained that the common warrants issued in the $20 million February 24, 2026 private placement resulted in the warrants being recorded as a liability-classified instrument. Such classification resulted in the warrants being remeasured at fair value each reporting quarter – the reported carrying amount of the warrant liability was approximately $24.5 million at December 31, 2025 and approximately $124.4 million as of June 30, 2026. The corresponding effect on the equity section was to move stockholders' equity from approximately $42.5 million at March 31, 2026 to a deficit of approximately $19.7 million at June 30, 2026.

As of September 30, 2026, the holders of the warrants had exercised approximately 96% of the outstanding warrants. Accordingly, the deficiency identified in the Notice has been substantially eliminated by an event that has already occurred. The non-cash liability that drove reported stockholders' equity negative as of June 30, 2026 is no longer carried on the Company's balance sheet other than to the de minimis residual. After giving effect to the exercise of the warrants, the Company's total stockholder's equity as of said date was approximately $99.9 million on a pro forma basis. The amount is significantly in excess of the Stockholders' Equity Requirement.

Based on management’s assessment of the Company’s financial condition, the Company believes that as of the date of this Current Report on Form 8-K, it has regained compliance with the Stockholders' Equity Requirement. The Company has requested that Nasdaq resolve the previously disclosed stockholders’ equity deficiency and confirm the Company’s compliance.

Nasdaq will continue to monitor the Company’s ongoing compliance with the Stockholders’ Equity Requirement and, if at the time of its next periodic report the Company does not evidence compliance, the Company may be subject to delisting. The Company’s next periodic report will be its Quarterly Report on Form 10-Q for the quarter ending September 30, 2026. The Company intends to submit this Current Report on Form 8-K in support of a determination that the Company has regained compliance with the Stockholders’ Equity Requirement. This report is being provided in connection with the Company’s request to Nasdaq for a favorable determination, and does constitute Nasdaq confirmation that the deficiency has been resolved or that the delisting proceedings have been terminated.
