Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Dogness (International) Corp. received a Nasdaq notice that its Class A common shares did not meet the $1.00-per-share minimum bid-price requirement after closing below that threshold for 30 consecutive business days. The notice does not immediately affect the listing; DOGZ shares continue trading uninterrupted on The Nasdaq Capital Market.

Dogness has 180 calendar days, through April 19, 2027, to regain compliance. Nasdaq says a closing bid of at least $1.00 per share for 10 consecutive business days can restore compliance, though it may require a longer period, generally no more than 20 consecutive business days. If Dogness does not regain compliance by the deadline, it may be eligible for another 180-calendar-day period if it meets other applicable Nasdaq listing standards and gives written notice of its intent to cure by effecting a reverse stock split, if necessary.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

minimum bid price requirement regulatory
"minimum bid price requirement of $1.00 per share"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
Compliance Period regulatory
"180 calendar days, or until April 19, 2027 (the “Compliance Period”)"
A compliance period is a defined stretch of time during which a company must meet specific legal, regulatory, or contractual rules and reporting requirements. Think of it like a scheduled inspection window or a homework deadline: failing to satisfy the rules within that window can trigger fines, restrictions, or extra oversight, so investors watch compliance periods as signals of near-term legal risk, potential costs, and impacts on a company’s operations or cash flow.
reverse stock split technical
"by effecting a reverse stock split, if necessary"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.

EXPLANATORY NOTE

On October 19, 2026, the Registrant received a letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC (the “Nasdaq”) notifying the Registrant that, based upon the closing bid price of its Class A common shares for the last 30 consecutive business days, the Registrant no longer meets the minimum bid price requirement of $1.00 per share set forth in Nasdaq Listing Rule 5550(a)(2). This current report is filed pursuant to Nasdaq Listing Rule 5810(b). The Nasdaq notification letter does not result in the immediate delisting of the Registrant’s Class A common shares, and the shares will continue to trade uninterrupted on The Nasdaq Capital Market under the symbol “DOGZ.”

Pursuant to Nasdaq Listing Rule 5810(c)(3)(A), the Registrant has a compliance period of 180 calendar days, or until April 19, 2027 (the “Compliance Period”), to regain compliance with Nasdaq’s minimum bid price requirement. If at any time during the Compliance Period, the closing bid price per share of the Registrant’s Class A common shares is at least $1.00 for a minimum of 10 consecutive business days, Nasdaq will provide the Registrant with a written confirmation of compliance and the matter will be closed. Nasdaq may, in its discretion, require the Registrant to maintain a closing bid price of at least $1.00 for a period in excess of 10 consecutive business days, but generally no more than 20 consecutive business days, before determining that the Registrant has demonstrated an ability to maintain long-term compliance.

In the event the Registrant does not regain compliance by April 19, 2027, the Registrant may be eligible for an additional 180-calendar-day compliance period. To qualify, the Registrant will be required to meet the continued listing requirement for market value of publicly held shares and all other initial listing standards for The Nasdaq Capital Market, with the exception of the bid price requirement, and will need to provide written notice of its intention to cure the deficiency during the second compliance period, by effecting a reverse stock split, if necessary. If the Registrant chooses to implement a reverse stock split, it must complete the split no later than ten business days prior to the expiration of the applicable compliance period. If it appears to Nasdaq that the Registrant will not be able to cure the deficiency, or if the Registrant is otherwise not eligible, Nasdaq will provide notice that the Registrant’s Class A common shares will be subject to delisting, at which time the Registrant may appeal the delisting determination to a Hearings Panel.

This press release is issued pursuant to Nasdaq Listing Rule 5810(b), which requires prompt disclosure of receipt of a deficiency notification. Pursuant to Nasdaq Listing Rule 5810(c)(3)(A), the Company has a compliance period of 180 calendar days, or until April 19, 2027 (the “Compliance Period”), to regain compliance with Nasdaq’s minimum bid price requirement. If at any time during the Compliance Period, the closing bid price per share of the Company’s Class A common shares is at least $1.00 for a minimum of 10 consecutive business days, Nasdaq will provide the Company with a written confirmation of compliance and the matter will be closed, although Nasdaq may, in its discretion, require the Company to satisfy the requirement for a longer period, generally no more than 20 consecutive business days.
