Rhea-AI Filing Summary

Driven Brands Holdings Inc. said its Audit Committee found material errors in previously issued fiscal 2023–2025 and interim financial statements, which should not be relied upon and require restatement. The ongoing review, preliminary and subject to change, centers on delayed fixed-asset write-offs, classification and useful lives; management is assessing effects on internal controls.

Preliminary, unaudited same-store sales for the quarter ended September 26, 2026 were 2.0% at Driven Brands and 4.9% at Take 5. Cash was approximately $230 million and total net debt approximately $1.4 billion as of September 26, 2026; approximately $485 million of long-term debt was repaid through the quarter. The company will miss the November 5 Form 10-Q deadline and five-day extension, intends to file Form 12b-25 by November 6, and must pause repurchases until current with reporting.

Updated FY 2026 Adjusted EBITDA outlook is $410–$430 million, versus $430–$460 million previously; Adjusted Diluted EPS is $1.10–$1.20, versus $1.15–$1.25. Restatement costs are expected to be at least $50 million in 2026, included in the EBITDA outlook, with additional costs expected in 2027.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

Because Franchise Disclosure Documents require completed Whole Business Securitization audits, delays have constrained Franchise Brands’ new-unit openings in the third and fourth quarters of 2026, and the company says the constraint continues until the restatement is complete and updated documents are issued, with no completion timeline set.

Whole Business Securitization financial
"parties to our Whole Business Securitization"
A whole business securitization is a financing structure in which a company's future operating cash flows and related business assets are bundled and transferred to a special-purpose vehicle (SPV) that issues secured debt or notes backed solely by those pledged revenues and assets. The company typically continues to run the business, but the SPV has legal rights to the cash flow stream and supporting security interests; repayments come from the business's cash flows rather than from the company's general corporate credit, making the obligation largely ring-fenced from the originator's other creditors. Because it relies on projected ongoing revenues, the structure includes detailed covenants, cash waterfalls and bankruptcy-remoteness features, and it does not represent an equity sale of the operating company but a debt-like claim on specified business receipts.
sale leaseback transactions financial
"primarily related to sale leaseback transactions"
A sale-leaseback transaction is when a company sells an asset it uses—often real estate or equipment—and then rents it back from the buyer so operations continue without interruption. For investors, it matters because the company converts tied-up assets into immediate cash that can fund growth or pay down debt, while taking on a new ongoing lease cost; this can boost short-term liquidity but change future cash flow and risk profiles, much like selling your home and becoming a long-term tenant.
Adjusted EBITDA financial
"Adjusted EBITDA, which excludes certain amounts included in net income"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
Free Cash Flow financial
"cash provided by operating activities less capital expenditures"
Free cash flow is the amount of money a company has left over after paying all its expenses and investing in its business, like buying equipment or updating facilities. It shows how much cash is available to reward shareholders, pay down debt, or save for future growth. This helps investors understand if a company is financially healthy and able to grow.

Item 2.02 Results of Operations and Financial Condition.

On November 3, 2026, Driven Brands Holdings Inc. (the “Company”) issued a press release that includes certain preliminary, unaudited information regarding the Company’s performance for the quarter ended September 26, 2026. A copy of the press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference. The information in this Item 2.02 and in Exhibit 99.1 is being furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section, and shall not be deemed incorporated by reference into any filing under the Securities Act of 1933, as amended, or the Securities Exchange Act of 1934, as amended, except as expressly set forth by specific reference in such a filing.

Item 4.02 Non-Reliance on Previously Issued Financial Statements or a Related Audit Report or Completed Interim Review.

On October 31, 2026, the Audit Committee of the Board of Directors, after consultation with the Company’s management, concluded there were material errors in our previously issued consolidated financial statements for the fiscal years ended December 27, 2025 (“fiscal year 2025”), December 28, 2024 (“fiscal year 2024”), and December 30, 2023 (“fiscal year 2023”), contained in the Company’s Annual Report on Form 10-K for the fiscal year 2025 (the “2025 Form 10-K”) filed with the Securities and Exchange Commission (“SEC”) on May 19, 2026,) and the unaudited quarterly financial information for fiscal years 2025 and 2024 included therein, and in our previously issued unaudited condensed consolidated financial statements for the quarterly periods ended March 28, 2026 and June 27, 2026, filed with the SEC on June 11, 2026 and August 6, 2026, respectively (the “2026 Quarterly Reports”).

The Audit Committee concluded that such financial statements should not be relied upon and required restatement (the “Restatement”). Additionally, the Report of our Independent Registered Public Accounting Firm on the financial statements and internal control over financial reporting included in the 2025 Form 10-K should not be relied upon.

As previously disclosed, on February 23, 2026, the Audit Committee concluded that our previously issued financial statements for fiscal years 2024 and 2023 and the interim periods within fiscal years 2024 and 2025 should not be relied upon, and those periods were restated in the 2025 Form 10-K (the “Prior Restatement”). The errors described below were identified after the filing of the 2025 Form 10-K, principally while preparing for the audits of the fiscal year 2025 financial statements of certain of our subsidiaries that are parties to our Whole Business Securitization.

As of November 3, 2026, the following are the primary categories of errors identified since the filing of the 2025 Form 10-K. The Company’s review is ongoing, and the descriptions below are preliminary and subject to change:

Fixed Asset Adjustments

The fixed asset errors identified to date fall largely into three categories:

•Failure to timely write-off fixed assets, primarily related to sale leaseback transactions;
•Misclassification of fixed assets within fixed asset categories; and
•Incorrect useful lives across certain fixed asset categories.

These errors primarily affected property and equipment, net, depreciation and amortization, asset impairment charges and lease terminations, operating lease right-of-use assets and liabilities, gain on sale

of discontinued operations, cash and cash equivalents, as of December 28, 2024, and selling, general and administrative expenses.

In addition, other less significant errors were identified that affect fiscal years 2025, 2024 and 2023, including opening fiscal 2023 accumulated deficit for errors originating in earlier periods, and the quarterly periods within fiscal years 2024, 2025 and 2026.

Management is assessing the effect of the Restatement on the Company’s internal control over financial reporting and its disclosure controls and procedures. The Company previously disclosed material weaknesses in the 2025 Form 10-K and 2026 Quarterly Reports. Management’s assessment includes evaluating the relationship of the control deficiencies associated with the Restatement to the previously reported material weaknesses, whether any additional material weaknesses should be reported, and whether the disclosures regarding any previously reported material weaknesses should be expanded or otherwise revised. Management has taken and is taking additional steps to remediate the material weaknesses in our internal control over financial reporting.

The Company will not file its Quarterly Report on Form 10-Q for the quarter ended September 26, 2026 by the November 5, 2026 due date or within the five-day extension period provided by Rule 12b-25. The Company intends to file a Notification of Late Filing on Form 12b-25 on or before November 6, 2026.

The Company’s review of the financial statements and evaluation of its internal control over financial reporting is ongoing and the Company may identify further material errors or material weaknesses.

The Company has discussed the foregoing matters disclosed in this Item 4.02 with PricewaterhouseCoopers LLP, the Company’s independent registered public accounting firm.

Forward Looking Statements

This Current Report on Form 8-K contains a number of forward-looking statements. Words such as “expect,” “believe,” “anticipate,” “will,” and variations of such words and similar expressions are intended to identify forward-looking statements. These forward-looking statements include, but are not limited to, statements regarding the Company's plans and expectations, materiality or significance of the misstatements and adjustments presented, which are management’s best estimates as of the date hereof, the Restatement’s quantitative effects, the effectiveness of the restated financial statements and any anticipated conclusions of the Company, the Audit Committee, or the Board of Directors. These forward-looking statements are not guarantees of future performance and are subject to a number of risks and uncertainties, many of which are difficult to predict and beyond the control of the Company.

Important factors that may cause actual results to differ materially from those in the forward-looking statements include, but are not limited to: the risk that additional information may arise out of the continuing review of the financial statements and the evaluation of accounting practices, the preparation of the Company’s restated financial statements or other subsequent events that would require the Company to make additional adjustments, or to identify additional material weaknesses; the risk that the Company will not complete the Restatement or file its amended or future SEC reports within the periods it currently expects; the consequences of any failure to timely file periodic reports, including under the listing rules of The Nasdaq Stock Market LLC, and the agreements governing the Company’s securitization and credit facilities; the costs of the Restatement and of remediating material weaknesses; securities litigation and any regulatory inquiries or proceedings relating to the Company’s financial reporting; and inherent limitations in internal control over financial reporting. For other risk factors affecting the Company, see “Risk Factors” in the 2025 Form 10-K as well as in our other filings with the SEC. Driven Brands Announces Financial Restatement; Provides Update on Third Quarter 2026 Performance and Revises Fiscal Year 2026 Outlook

•Company Identified Errors in Fixed Asset Reporting
•Delays Third Quarter Earnings Call and Filing of Third Quarter 2026 Form 10-Q
•Preliminary Third Quarter Driven Brands Same Store Sales Increase of 2.0% and Take 5 Same Store Sales Increase of 4.9%
•Continued Strong Cash Generation and Debt Paydown

CHARLOTTE, N.C., November 3, 2026 – Driven Brands Holdings Inc. (NASDAQ: DRVN) (“Driven Brands” or the “Company”) today announced the Audit Committee of the Company’s Board of Directors, after consultation with the Company’s management, concluded there were material errors in the Company’s previously issued consolidated financial statements for fiscal years ended December 27, 2025, December 28, 2024, and December 30, 2023 contained in the Company’s Annual Report on Form 10-K for the fiscal year 2025, and in its previously issued unaudited condensed consolidated financial statements for each of the quarterly and year-to-date periods within fiscal years 2025 and 2024 as well as the quarterly and year-to-date periods ended June 27, 2026 and March 28, 2026.
As a result, the Audit Committee concluded that such financial statements require restatement and should not be relied upon. The errors identified to date primarily relate to the accounting for fixed assets.

Management Commentary

While preparing for the Company’s Whole Business Securitization (“WBS”) subsidiary audits, management identified additional errors primarily in the historical accounting for fixed assets.
The fixed asset errors identified to date fall largely into three categories:
•Failure to timely write-off fixed assets, primarily related to sale leaseback transactions;
•Misclassification of fixed assets within fixed asset categories; and
1

•Incorrect useful lives across certain fixed asset categories.
“To address these issues, we are continuing to add accounting resources and work with outside accounting advisors to correct the errors we’ve identified, including reconciling our fixed asset records,” said Mike Diamond, Chief Financial Officer. “We are also reviewing whether any other areas require adjustment. To date, the adjustments from these issues have a negligible impact on Adjusted EBITDA.”
There is no set timeline for completing the restatement, and the Company will provide an update as soon as practicable. Until that time, the Company will limit communications to required public disclosures.
“I understand the frustration this causes our shareholders, lenders, employees, and franchisees as we work through this matter,” said Danny Rivera, President and Chief Executive Officer. “Our top priority is to complete the restatement, continue to strengthen our processes and controls, and earn back trust one quarter at a time.”

Preliminary Third Quarter 2026 Performance(1)
In light of the ongoing review tied to this restatement, the Company is delaying its third quarter earnings call and will not file its Form 10-Q for the third quarter by the filing deadline. In the interim, the Company is providing the following update on preliminary third quarter performance.

(1)The results for the third quarter ended September 26, 2026, set forth above are preliminary and unaudited in nature and subject to change as results for the period are finalized. The Company’s actual results for the period may differ materially from the preliminary estimates presented herein, and additional developments and adjustments may arise before results for the period are finalized. Estimates of results are inherently uncertain and subject to change, and the Company undertakes no obligation to update the estimated results. Accordingly, you should not place undue reliance on these estimates.
On a preliminary and unaudited basis, the Company also announces:
•The Company had approximately $230 million in cash and cash equivalents as of September 26, 2026, and continues to generate strong free cash flow.
2

•The Company ended the third quarter with total net debt of approximately $1.4 billion, reflecting the repayment of approximately $485 million of long-term debt through the third quarter.
•During the third quarter, the Company purchased approximately 315,000 shares for $3.8 million. Since authorization, the Company has purchased approximately 1.7 million shares for $19.7 million. The Company is required to temporarily cease its share repurchases until it becomes current with its reporting obligations.
“Take 5 had a strong third quarter, with same store sales up 4.9%, marking its 25th consecutive quarter of growth, and 27 net new units,” said Rivera. “Our priorities are clear: complete the restatement and strengthen our accounting processes and controls, while continuing to deliver growth at Take 5 and strong cash generation.”

Revised Fiscal Year 2026 Outlook
The Company is updating its 2026 outlook, which is subject to adjustments the Company may identify during its ongoing review:

“Our updated outlook reflects ongoing macroeconomic headwinds, continued pressure on lower-income consumers across Take 5, Maaco and Collision, and additional restatement-related costs,” said Rivera. “Against this backdrop, we now expect Take 5 same store sales growth of 3.5% to 4.0% for the full year.”
The Company expects:
•Restatement-related costs of at least $50 million in 2026, up from its previous expectation of the high end of its initial range of $35 million to $45 million. These costs are included in the updated outlook for Adjusted EBITDA. The Company has significantly expanded the scope of its review and the resources dedicated to it and expects to incur additional restatement-related costs in 2027 as it completes this work.
•Net capital expenditures of approximately 6.5% of revenue.
3

•Total net unit growth of 80 to 100 units. Delays in issuing Franchise Disclosure Documents (“FDDs”), which require completion of the WBS audits, have constrained Franchise Brand new unit openings in the third and fourth quarters of 2026, with this impact expected to continue until the restatement is completed and updated FDDs are issued.
Note: The Company’s 2026 outlook excludes the impact of any potential M&A and divestitures other than the completed divestiture of the international car wash business.

Non-GAAP Financial Measures in Outlook
In the Company’s Fiscal Year 2026 Outlook, Driven Brands includes:
•Adjusted Earnings Before Interest, Tax, Depreciation and Amortization (“Adjusted EBITDA”), which excludes certain amounts included in net income calculated in accordance with GAAP,
•Adjusted Earnings per Share (“Adjusted Diluted EPS”), which excludes certain amounts included in diluted earnings per share attributable to Driven Brands common stockholders calculated in accordance with GAAP, and
•Free Cash Flow, which is defined as cash provided by operating activities less capital expenditures, net of proceeds from sale leaseback transactions.
Adjusted EBITDA, Adjusted Diluted EPS and Free Cash Flow are non-GAAP financial measures and have not been reconciled to the most comparable GAAP financial measures because it is not possible to do so without unreasonable efforts due to the uncertainty and potential variability of reconciling items, which are dependent on future events and often outside of management’s control and which could be significant. Because such items cannot be reasonably predicted with the level of precision required, we are unable to provide an outlook for the comparable GAAP measures. Forward-looking estimates of Adjusted EBITDA, Adjusted Diluted EPS, and Free Cash Flow are made in a manner consistent with the relevant definitions and assumptions noted herein and in our filings with the SEC.
