Negative

  • Nasdaq delisting of Davis Commodities’ Class A ordinary shares, with no assurance of continued OTC quotation, active trading market, or liquidity after the move off a major exchange.

Filing Explained

Nasdaq delisting is pending; OTC quotation continues, but the filing gives no assurance of an active or liquid market.

Davis Commodities reports that Nasdaq has stated it will file a Form 25 to complete the delisting of its Class A ordinary shares; because that filing has not yet occurred, the delisting is not yet effective. If completed, the shares would no longer be listed on Nasdaq, while the company says they continue to be quoted on OTC Markets under DTCKF.

Trading on Nasdaq has been suspended since March 25, 2026. OTC quotations and trading remain subject to broker support and market conditions, and the company gives no assurance that an active or liquid market will continue. The company also states that delisting will not end its SEC reporting obligations.

The next state-changing item is Nasdaq's Form 25 filing: the delisting becomes effective ten days after that filing. Until then, the disclosed venue remains suspended Nasdaq trading alongside conditional OTC quotation.

Nasdaq trading suspension date March 25, 2026 Date trading of Class A ordinary shares on Nasdaq was suspended
Delisting effectiveness period 10 days Delisting becomes effective ten days after Form 25 is filed with the SEC
OTC trading symbol DTCKF Symbol under which Class A ordinary shares continue to be quoted on OTC Markets
Delisting announcement dates September 17 and September 21, 2026 Nasdaq’s stated delisting action on September 17, 2026 and company press release on September 21, 2026
Form 25 regulatory
"Nasdaq has stated that it will file a Form 25 with the U.S."
A Form 25 is an official filing with the U.S. Securities and Exchange Commission used to remove a company's stock or other security from a national exchange list. Investors should care because delisting often means less visibility, lower trading volume and wider price swings—similar to a product moving from a major supermarket to a small local market, which can make buying, selling and valuing the security more difficult.
OTC Markets market
"The Company’s Class A ordinary shares continue to be quoted on the OTC Markets"
Over-the-counter (OTC) markets are trading venues where buyers and sellers deal directly through dealers or electronic networks instead of on a formal exchange; think of a neighborhood flea market versus a supermarket. They matter to investors because OTC-listed stocks often represent smaller or international companies with fewer reporting requirements, which can mean lower liquidity, wider price swings and higher risk but sometimes earlier access to growth opportunities.
SEC-reporting company regulatory
"The Company will remain an SEC-reporting company and intends to continue"
forward-looking statements regulatory
"Certain statements in this press release may constitute “forward-looking statements”"
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.
