Rhea-AI Filing Summary

Precision BioSciences, Inc. (DTIL) priced an underwritten offering of 10,235,077 common shares at $7.75 per share and pre-funded warrants to purchase up to 5,893,964 shares at $7.749995 per warrant. The company expects approximately $125 million in gross proceeds and estimates approximately $116.5 million in net proceeds after underwriting discounts and commissions and estimated offering expenses, excluding proceeds from warrant exercises. It intends to use net proceeds for continued research and development of PBGENE-HBV and PBGENE-DMD, working capital and general corporate purposes.

The closing is expected on November 6, 2026, subject to customary closing conditions. The warrants have a $0.000005-per-share exercise price and no voting rights. Their beneficial ownership cap is 4.99% or, at the holder’s option upon issuance, 9.99%; holders may change the cap up to 19.99%, with an increase effective on the 61st day after notice. The cap includes the holder’s affiliates and any persons acting as a group with them.

Filing Explained

The warrants also let holders participate alongside stockholders on an as-exercised basis; in a fundamental transaction, exercise entitles them to the securities, cash, or other property they would have received by exercising immediately beforehand, without regard to the warrants’ exercise limitations.

pre-funded warrants financial
"pre-funded warrants to purchase up to 5,893,964 shares"
Pre-funded warrants are financial instruments that give investors the right to purchase a company's stock at a set price, but with most or all of the purchase price paid upfront. They function like a coupon or gift card for stock, allowing investors to buy shares later at a fixed price, which can be beneficial if they want to avoid future price increases. This makes them important for investors seeking flexibility and certainty in their investment plans.
underwriting discounts and commissions financial
"after deducting underwriting discounts and commissions"
Underwriting discounts and commissions are fees paid to financial institutions that help sell new securities to investors. They act like a commission for their role in connecting companies with buyers, often reducing the amount of money the issuing company raises. For investors, understanding these costs helps gauge how much of their investment is going toward the actual securities versus fees paid to middlemen.
beneficial ownership limitation regulatory
"beneficial ownership limitation"
A beneficial ownership limitation is a rule that caps the percentage of a company’s shares an investor can be treated as owning or controlling for voting, regulatory or tax purposes. It matters to investors because it can restrict how many shares a person or group can buy or vote, affect takeover chances, and influence share liquidity and value — like a speed limit that prevents any single driver from taking over the whole road.
fundamental transaction technical
