Rhea-AI Filing Summary

Ecopetrol S.A. (EC) reports the outcome of bondholders’ meetings held on August 18, 2026 for its domestic bond issuances from 2010 and 2013. At the 2010 bondholders’ meeting, no quorum was verified. At the 2013 meeting, a quorum representing 15.33% of the outstanding principal amount was verified, but this did not meet the required majority.

Under Colombian Decree 2555 of 2010, approval of the merger proposal at a first-call meeting requires both a numerical majority of bondholders present and at least 80% of the outstanding principal amount. Because these thresholds were not met for either issuance, Ecopetrol states that second-call meetings will be convened, with notice to be published in a newspaper of broad national circulation.

The first call is the initial public estimate or report about a company’s upcoming financial results or prospects, usually issued by an analyst or research firm when they start covering the company or after a new quarter begins. It matters to investors because it sets an early benchmark or expectation—like the first score reported in a game—that subsequent estimates, market reactions and consensus numbers are compared against.

"a second-call meeting will be required for the holders of each"
outstanding principal amount financial
"a quorum representing 15.33% of the outstanding principal amount of such"
The outstanding principal amount is the remaining unpaid portion of the original loan or bond issue—just the borrowed money itself, not accumulated interest or fees—after any repayments. It matters to investors because it shows how much debt a borrower still owes, which affects credit exposure, company leverage and potential future cash outflows; like the remaining balance on a mortgage, it indicates the size of the obligation that must be managed or repaid.

forward-looking statements regulatory
"This release contains statements that may be considered forward-looking statements within"
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. FAQ

What did Ecopetrol (EC) announce regarding its 2010 and 2013 domestic bondholders’ meetings?

Ecopetrol announced that first-call meetings for its 2010 and 2013 domestic bond issuances were held on August 18, 2026. The 2010 meeting lacked quorum, while the 2013 meeting reached 15.33% quorum but failed to achieve required approval majorities.

Why was the merger proposal not approved at Ecopetrol’s (EC) first-call bondholders’ meetings?

The merger proposal was not approved because the necessary voting thresholds were not met. Colombian rules require a numerical majority of bondholders present and at least 80% of the outstanding principal amount; neither the 2010 nor 2013 issuance meetings satisfied these conditions.

What are the next steps Ecopetrol (EC) plans for the 2010 and 2013 bond issuances?

Ecopetrol plans to hold second-call meetings for bondholders of both the 2010 and 2013 issuances. Notices for these meetings will be published in a newspaper of broad national circulation, and the company indicates it will provide further updates as appropriate.

What quorum was achieved at Ecopetrol’s (EC) 2013 bondholders’ meeting?

At the 2013 issuance bondholders’ meeting, Ecopetrol reports a quorum representing 15.33% of the outstanding principal amount. This participation level was not sufficient to meet the 80% outstanding principal requirement for approval of the merger proposal at first call.

What voting thresholds apply to Ecopetrol (EC) bondholder approvals under Colombian Decree 2555 of 2010?

For approval of a merger proposal at a first-call bondholders’ meeting, the rules require a plurality representing both a numerical majority of bondholders present and at least 80% of the outstanding principal amount of the relevant issuance, as cited by Ecopetrol.

Ecopetrol Reports Results of Bondholders’ Meetings for Domestic Public Debt Bonds Held at First Call

Bogotá, August 18, 2026

Ecopetrol S.A. (BVC: ECOPETROL; NYSE: EC) (the "Company" or "Ecopetrol") hereby reports that, on August 18, 2026, meetings of the holders of the Company's domestic bonds issued in 2010 and in 2013 were convened and held at first call. The meetings were called by the respective bondholders' representatives, Alianza Valores Fiduciaria S.A. and Itaú Fiduciaria Colombia S.A., pursuant to a notice of meeting published on August 6, 2026, in a newspaper of broad national circulation.

At the meeting of bondholders of the 2010 issuance, convened by Alianza Valores Fiduciaria S.A. and held today at 2:00 p.m. (Bogotá, D.C. time), no quorum was verified.

At the meeting of bondholders of the 2013 issuance, convened by Itaú Fiduciaria Colombia S.A. and held today at 3:30 p.m. (Bogotá, D.C. time), a quorum representing 15.33% of the outstanding principal amount of such issuance was verified.

Under Article 6.4.1.1.22 of Colombian Decree 2555 of 2010, approval of a merger proposal at a first-call meeting requires the affirmative vote of a plurality representing both (i) the numerical majority of bondholders present at the meeting and (ii) at least eighty percent (80%) of the outstanding principal amount of the relevant issuance. Because the requisite majorities were not obtained at either meeting, a second-call meeting will be required for the holders of each of the two outstanding issuances. Notice of the second-call meetings will be published in a newspaper of broad national circulation in the coming days, and the Company will provide further updates as appropriate.
