A 10-Q covers the quarterly report filed between annual reports, so if you follow EMBC and want that one kind of document rather than the whole filing history, this is the page to keep. The company's other filings, of every form, are on the full EMBC filings page.
Embecta Corp. reported weaker results for the quarter and nine months ended June 30, 2026. Quarterly revenue fell to $271.7 million, down 8.1% year over year, as lower pricing and volumes more than offset $13.8 million from the Owen Mumford acquisition and favorable currency. Gross margin declined to 56.4% from 66.7%, and net income dropped to $21.1 million or $0.36 diluted EPS, about half the prior-year level.
For the first nine months, revenue declined to $754.7 million and net income to $61.1 million, with margin pressure from higher cost of products sold. U.S. revenue decreased while international revenue grew modestly. Pen needles saw notable declines, partly offset by growth in safety and other products, including Owen Mumford.
The company closed the $208.0 million Owen Mumford acquisition, adding auto-injectors and other chronic-care devices, and recorded $24.4 million of goodwill. Embecta generated $90.1 million in operating cash flow, ended the quarter with $218.2 million in cash and restricted cash and $1,455.1 million of debt, repurchased 2.7 million shares for $8.7 million under a new $100.0 million authorization, and reduced its quarterly dividend from $0.15 to $0.01 per share. The company also disclosed a putative securities class action related to fiscal 2026 revenue guidance and stated it intends to defend the case vigorously.
Embecta Corp. reported weaker results for the quarter ended March 31, 2026, as revenue fell to $221.8 million from $259.0 million, a 14.4% decline. Lower volumes and pricing pressure, especially in pen needles and U.S. markets, reduced gross margin to 57.6% from 63.4% and turned net income of $23.5 million into a net loss of $4.1 million (basic EPS $(0.07)).
For the first six months, revenue declined to $483.0 million, but net income improved to $40.0 million helped by sharply lower restructuring and patch pump-related charges and a $10.1 million gain on asset sales. Operating income for the half rose to $118.3 million.
The company remains highly leveraged with total principal debt of $1.34 billion and a weighted-average interest rate of 6.1%, though it prepaid $75.0 million on its term loan. Embecta agreed to acquire UK-based Owen Mumford for up to £150 million, launched a three-year $100.0 million share repurchase plan, and sharply cut its quarterly dividend from $0.15 to $0.01 per share to conserve cash.
Embecta Corp. reported essentially flat revenue of $261.2M for the quarter ended December 31, 2025, down slightly from $261.9M a year earlier, but significantly higher profitability. Gross margin improved to 61.9%, lifting operating income to $83.3M from $28.7M.
Net income reached $44.1M versus break-even in the prior-year period, driven by lower research and development and restructuring costs and a $10.1M gain on the sale of patch pump intellectual property and assets. Operating cash flow was $17.2M, and cash and equivalents and restricted cash totaled $204.4M.
Embecta reduced its Term Loan by $37.5M in the quarter, leaving total principal debt of $1,379.3M and a weighted average borrowing cost of 6.1%. The company, a global diabetes injection-device provider, continues to face pricing pressure, shifting diabetes treatment patterns and macroeconomic uncertainty but reports compliance with all debt covenants.
