Rhea-AI Filing Summary

Evommune, Inc. (EVMN) licensed exclusive, sublicensable rights to develop, manufacture and commercialize Hinova’s VAV1 degraders, including EVO570, for human and animal indications outside Greater China; Hinova retained rights in mainland China, Hong Kong, Macau and Taiwan.

For the license, Evommune agreed to pay a non-refundable $20.0 million upfront and issue a wholly owned Hinova subsidiary pre-funded warrants for up to 1,262,413 shares at $0.001 per share, representing $10.0 million based on average closing prices over the 45 consecutive trading days before the agreement. Hinova may receive up to $150.0 million in development and regulatory milestones, up to $920.0 million in commercial milestones, and tiered royalties on future net sales.

Evommune also agreed to sell 4,966,889 common shares at $6.04 each in a private placement expected to close on or about November 6, 2026, subject to customary conditions, for estimated gross proceeds of approximately $30.0 million before expenses; net proceeds are intended for clinical development and general corporate purposes. A preliminary estimate combining cash, cash equivalents and investments as of September 30, 2026 with gross placement proceeds before placement-agent fees puts post-closing resources at $292.3 million, sufficient to fund operating expenses and capital expenditures into the second half of 2029; the estimate is unaudited.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

pre-funded warrants financial
"issue ... pre-funded warrants to purchase up to"
Pre-funded warrants are financial instruments that give investors the right to purchase a company's stock at a set price, but with most or all of the purchase price paid upfront. They function like a coupon or gift card for stock, allowing investors to buy shares later at a fixed price, which can be beneficial if they want to avoid future price increases. This makes them important for investors seeking flexibility and certainty in their investment plans.
beneficial ownership limitation financial
"subject to a beneficial ownership limitation of 4.99%"
A beneficial ownership limitation is a rule that caps the percentage of a company’s shares an investor can be treated as owning or controlling for voting, regulatory or tax purposes. It matters to investors because it can restrict how many shares a person or group can buy or vote, affect takeover chances, and influence share liquidity and value — like a speed limit that prevents any single driver from taking over the whole road.
tiered royalty payments financial
"as well as tiered royalty payments"
molecular glue degrader technical
"an oral VAV1-directed molecular glue degrader"
A molecular glue degrader is a small drug-like molecule that acts like a tiny adhesive, sticking a specific disease-related protein to the cell’s natural disposal machinery so the protein is destroyed rather than merely blocked. Investors watch these compounds because they can turn previously untreatable targets into removable liabilities, potentially creating breakthrough therapies, shifting development risk, and offering strong commercial upside if clinical results and regulatory approval follow.
Regulation S regulatory
"exempt from registration under Rule 903 of Regulation S"
Regulation S is a set of rules that allows companies to sell securities (like shares or bonds) to investors outside the United States without having to follow all U.S. securities laws. It matters because it makes it easier for companies to raise money from international investors while still complying with U.S. regulations.

Pursuant to the License Agreement and subject to certain rights retained by Hinova, Hinova granted the Company the exclusive and sublicensable rights to develop, manufacture, commercialize and otherwise exploit Hinova’s Vav Guanine Nucleotide Exchange Factor 1 (“VAV1”) degraders, including the molecular glue degrader EVO570 (formerly HC118 and known as HB570 in Greater China) (collectively, the “Compound”), for all human and animal indications throughout the world, excluding mainland China, Hong Kong, Macau and Taiwan (“Greater China”). Hinova retained all rights to the Compound in Greater China.

As consideration for the rights granted to the Company by Hinova, the Company agreed to make a one-time, non-refundable upfront cash payment to Hinova of $20.0 million and to issue to a wholly owned subsidiary of Hinova pre-funded warrants (the “Warrants”) to purchase up to 1,262,413 shares of the Company’s common stock, representing $10.0 million of common stock based on the average closing price of the Company’s common stock for the 45 consecutive trading days immediately preceding the date of the License Agreement, at an exercise price of $0.001 per share. Hinova is also eligible to receive up to $150.0 million contingent upon the achievement of specified development and regulatory milestone events, and up to $920.0 million contingent upon the achievement of specified commercial milestone events, as well as tiered royalty payments (at percentages ranging from the mid single-digits to the low double-digits, subject to customary reductions) on future net sales of products containing the Compound.

Under the License Agreement, royalty payments will be payable on a product-by-product and country-by-country basis during the period commencing on the first commercial sale and continuing until the latest of: (a) the expiration of the last valid claim of the licensed patents covering such product in such country; (b) the expiration of regulatory exclusivity for such product in such country; and (c) the 10-year anniversary of the first commercial sale of such product in such country (the “Royalty Term”).

The foregoing description of the License Agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the License Agreement, a copy of which will be filed as an exhibit to the Company’s Annual Report on Form 10-K for the fiscal year ending December 31, 2026.

The Warrants have an initial exercise price per share of $0.001, subject to certain adjustments. The Warrants are exercisable immediately and may be exercised at any time until the earlier of: (a) 5:00 p.m. Pacific time, on November 4, 2036; or (b) upon the consummation of (i) the voluntary liquidation, dissolution, or winding up of the Company or (ii) a Change of Control (as defined in the Warrants), as applicable. Under the terms of the Warrants, the number of Warrant Shares exercisable are subject to a beneficial ownership limitation of 4.99% of the number of shares of the Company’s common stock outstanding immediately after giving effect to the issuance of the Warrant Shares, with the Company having ability to, in its sole discretion, (i) settle any amounts greater than this beneficial ownership limitation in cash as additional payment under the Licensing Agreement or (2) waive such beneficial ownership limitation. In addition, the holder of the Warrants may at any time request the Company to make a cash payment to Hinova in lieu of issuing all or any portion of the Warrant Shares as an additional monetary payment under the License Agreement, in an amount equal to the number of Warrant Shares settled multiplied by 90% of the average closing price of the Company’s common stock for the 45 consecutive trading days immediately preceding the date of such notice.

Evommune Enters into Agreement to In-License EVO570, a Potential Best-in-Class Oral VAV1 Molecular Glue Degrader, from Hinova Pharmaceuticals

-
Oral, highly selective and potent VAV1 molecular glue degrader designed to deliver a differentiated clinical profile across a broad range of indications in autoimmune disease
-
Phase 1 expected to begin imminently; Evommune plans to initiate a Phase 2 trial in rheumatoid arthritis in 2027
-
Evommune to pay $20MM upfront in cash and $10MM in the form of pre-funded warrants and up to approximately $1.1B in development, regulatory and commercial milestones, plus tiered royalties

PALO ALTO, Calif., NEW YORK, and CHENGDU, China, November 4, 2026 – Evommune, Inc. (NYSE: EVMN) (the “Company” or “Evommune”), a clinical-stage biotechnology company developing therapies for chronic inflammatory diseases, and Hinova Pharmaceuticals Inc. (SSE: 688302) today announced an exclusive license agreement granting Evommune worldwide rights outside of Greater China to develop, manufacture and commercialize EVO570 (formerly HC118 and known as HP570 in Greater China), an oral VAV1-directed molecular glue degrader (MGD).

VAV1 is a signaling protein that prominently drives T- and B-cell activation across a wide range of chronic inflammatory diseases. EVO570, discovered by Hinova, is an investigational oral MGD designed to selectively eliminate VAV1, quieting the immune activity underlying many autoimmune diseases. Unlike JAK enzymes, which are broadly expressed across many tissues and organs, VAV1 is largely restricted to immune cells, a core rationale for its potential to offer a much-needed, favorable safety and tolerability profile. In preclinical studies, EVO570 has demonstrated promising activity in animal models of multiple immune-mediated conditions and greater potency in human immune cells than competitor VAV1 degraders. Investigational New Drug (IND) applications have been submitted in China and accepted in the United States, and a Phase 1 trial evaluating safety, pharmacokinetics and target engagement/pharmacodynamics is on track to begin imminently.

“VAV1 is a compelling target in immunology today, offering a potential path to JAK-like efficacy without the safety and tolerability challenges of other available therapies,” said Dr. Jeegar Patel, Chief Scientific Officer of Evommune. “With a differentiated scaffold and structure-guided optimization resulting in sub-nanomolar potency, high selectivity and a profile supporting once-daily oral dosing, EVO570 has the potential to be a best-in-class approach for patients with rheumatoid arthritis and other T- and B-cell-driven autoimmune diseases. We look forward to reporting Phase 1 results and plan to advance it into its first Phase 2 trial in rheumatoid arthritis in 2027.”

“Adding this development-stage program is a strategic step for Evommune, expanding our pipeline into T- and B-cell-driven autoimmune diseases with a differentiated oral degrader that complements our existing pipeline,” said Greg Moss, Chief Business and Legal Officer of Evommune. “We have been impressed by Hinova’s innovative drug discovery and execution capabilities, and we are pleased to partner with a team that shares our commitment to developing differentiated therapies for patients. With this transaction, we are adding a novel therapeutic candidate with wide-ranging potential, while maintaining a disciplined portfolio management approach, and continuing to position Evommune to create meaningful long-term value for patients with chronic inflammatory diseases and for our stockholders.”

“We are proud to partner with Evommune, a leading immunology company with a proven track record of advancing differentiated therapies for chronic inflammatory diseases,” said Dr. Yuanwei Chen, Founder and Chairman of Hinova. “EVO570’s advancement reflects the strength of Hinova’s targeted protein degrader and translational medicine platforms, and we believe Evommune’s development expertise and global reach make it the ideal collaborator to bring this potential best-in-class VAV1 degrader to patients worldwide.”

Terms of the agreement

As consideration for the license, Evommune will pay Hinova $30 million upfront, consisting of $20 million in cash and $10 million in the form of pre-funded warrants to purchase Evommune common stock. Hinova is eligible to receive up to approximately $1.1 billion in development, regulatory and commercial milestones, as well as tiered royalties on net sales outside Greater China. BFC Group served as exclusive financial advisor and Fangda Partners served as exclusive legal advisor to Hinova.

About VAV1 and EVO570

VAV1 is a guanine nucleotide exchange factor largely restricted to immune cells that transmits signals from the T-cell and B-cell receptors to drive activation, cytokine production and migration. EVO570 is an orally administered MGD that directs VAV1 to the cell’s protein-disposal machinery for degradation. EVO570 is an investigational drug candidate and has not yet been approved by any regulatory authority.
