Registration Statement on Form S-4 regulatory
"will file with the SEC a Registration Statement on Form S-4"
A registration statement on Form S-4 is a formal filing with the U.S. Securities and Exchange Commission used when a company issues shares or other securities as part of a merger, acquisition, exchange offer or similar corporate deal. It bundles the transaction terms, financial statements, risk factors and shareholder vote materials so investors can assess the deal; think of it as a detailed prospectus or buyer’s packet that explains what you would own and how the deal could change your stake.
Proxy Statement/Prospectus regulatory
"Proxy Statement of First Bancorp and a Prospectus of First Capital"
A proxy statement or prospectus is a document that companies send to shareholders to provide important information about upcoming decisions or investments, such as voting on company issues or offering new shares to the public. It helps investors understand the details and risks involved, enabling them to make informed choices about their ownership or involvement with the company.
customary closing conditions regulatory
"the satisfaction of customary closing conditions"
"Customary closing conditions" are standard rules or checks that must be met before a business deal can be finalized, like making sure all paperwork is in order or that certain approvals are obtained. They matter because they help protect both parties, ensuring everything is in place and reducing the risk of surprises or problems after the deal is closed.

The following email was sent to employees of First Bancorp on November 5, 2026:

Dear Colleagues:

We are incredibly excited to announce that First Bancorp, Inc. and First Capital, Inc., parent companies of First Federal Savings Bank and First Harrison Bank, respectively, have entered into a definitive agreement to combine our companies. We look forward to embarking on this journey with you as we build a stronger, more resilient financial institution serving customers in Southern/Southwestern Indiana and Northern Kentucky.

Over the last several weeks, individuals from both institutions have worked closely together to learn more about each of our respective organizations. We have learned, very clearly, that our companies share an aligned vision to drive mission, culture, and values in everything we do. Our collective commitment to serving customers with efficient, high-quality service is reflected in the strong financial results both our companies are producing.

As our organizations have gotten to know each other better, our confidence in how beneficial this combination will be for our customers and employees has only increased. We have been deeply impressed with each other’s dedication, hard work and the highly regarded institutions built. Now, we look forward to advancing together as a unified institution.

As pleased as we are about combining our companies, we must receive shareholder and regulatory approvals before we begin operating as one company, which we expect will occur in the second quarter of 2027 with an expected conversion in the third quarter of 2027. In the meantime, this does not change anything that you do each day. Please continue to act with the same dedication and focus that you always have as you deliver quality service to your customers.

When the transition is finalized, the combined company will embrace the best practices of both organizations, which we expect will create exciting opportunities for employees. We have already begun forming integration teams to help plan for the combination and we intend to work closely together to achieve a seamless integration of our two organizations.

We have created an email address where you can send any questions: AskFHB@firstharrison.com. We will address questions in ongoing communications that we will send out regularly.

Together, we will advance our strategy, mission, and shared values. We look forward to meeting with as many of you as possible in the weeks and months ahead, and we thank you for your focus on making this combination a success.

Best regards,
