Depositary Shares financial
"holders of record as of August 15, 2026 (the "Depositary Shares Record Date") of its depositary shares (the "Depositary Shares")"
Depositary shares are tradable certificates that represent a fractional piece of a larger security held by a third-party bank, like owning a slice of a single big pie instead of the whole pie. They let companies issue and investors buy smaller, more affordable portions of preferred stock or other instruments; holders usually receive proportional dividends and market pricing similar to ordinary shares, but may have limited voting rights and different liquidity or tax implications, which can affect income and resale value.
Non-Cumulative financial
"6.75% Series A Fixed-Rate Non-Cumulative Perpetual Preferred Stock (the "Series A Preferred Stock")"
Non-cumulative describes a type of dividend or payment right where any missed distributions are not tracked or owed later; if a company skips a payment, investors do not receive that skipped amount in the future. Think of it like a one-time coupon that expires if not used: it can boost potential income when paid, but offers no catch-up protection, so investors face greater income uncertainty and should price in higher risk or lower yield expectations.
Perpetual Preferred Stock financial
"6.75% Series A Fixed-Rate Non-Cumulative Perpetual Preferred Stock (the "Series A Preferred Stock")"
A perpetual preferred stock is a type of share that behaves like a forever-lasting, fixed-income investment: it pays regular dividends and has no set maturity date, yet it represents ownership rather than a loan. It ranks ahead of common stock for dividend payments and in liquidation, so investors treat it as a mix between a bond and an equity stake; its value depends largely on the issuer’s credit and prevailing interest rates.
record as of financial
"holders of record as of August 15, 2026 (the "Depositary Shares Record Date")"
"Record as of" indicates the specific date or point in time when a particular financial figure or statistic was measured or confirmed. It helps investors understand the exact moment when the data was valid, similar to taking a snapshot of a situation. This clarity is important for making accurate comparisons and informed decisions based on the most current or relevant information.
quarterly distribution financial
"will receive a quarterly distribution in the amount of $0.421875 per Depositary Share"
A quarterly distribution is a cash payment made every three months by a company, fund, or trust to its shareholders or unitholders, representing a share of profits, income, or return of capital. Like receiving a paycheck four times a year, it gives investors regular cash flow and signals how much cash the business is returning to owners; the size and consistency can help people judge an issuer’s cash-generating ability and payout policy.
