Rhea-AI Filing Summary

First Mid Bancshares, Inc. (FMBH) amends the selling-stockholder information for an existing prospectus covering resale of up to 1,262,246 shares of common stock; this supplement does not add shares to the registration. On October 22, 2026, EPL LINCO Trust transferred all 1,262,246 shares to PL Generations LLC for no consideration. The transfer was between affiliated parties and did not involve First Mid.

PL Generations replaced the Trust as selling stockholder and beneficially owned 1,262,246 shares, or 4.7%, based on 26,607,197 shares outstanding as of October 22, 2026. If PL Generations sells all covered shares and acquires none, it would own zero shares afterward; First Mid says it cannot advise whether any or all will be sold.

Registration Rights Agreement regulatory
"Amendment No. 2 to the Registration Rights Agreement"
A registration rights agreement is a contract that gives investors the option to have their ownership stakes officially registered with the government, making it easier to sell their shares later. This agreement matters because it provides investors with a clearer path to cash out their investments if they choose, offering more liquidity and confidence in their ability to sell their holdings when desired.
Permitted Transferee regulatory
"PL Generations was added as a “Permitted Transferee”"
beneficial ownership regulatory
"information regarding the beneficial ownership of our Common Stock"
Beneficial ownership means the person or entity that actually enjoys the benefits of owning shares or other assets — such as receiving dividends, voting rights, or price gains — even if the legal title is held in another name. For investors it matters because knowing who truly controls and profits from a company reveals who can influence decisions, exposes potential conflicts of interest or hidden concentration of power, and affects transparency and risk in the stock.
par value financial
"common stock, par value $4.00 per share"
Par value is the fixed amount printed on a bond or stock that represents its original value when issued. It’s like the face value of a coin or bill—what the issuer promises to pay back or the starting price of a stock—though it often doesn’t change with market prices. It matters because it helps determine certain financial details, like how much the company will pay back at maturity.

All references in the Prospectus to the “selling stockholder” shall be deemed to refer to PL Generations, together with its permitted transferees under the Registration Rights Agreement and its pledgees, donees, transferees and other successors-in-interest.
