On August 28, 2026, Dr. Allen R. Jones, Jr. notified the Board of Directors of Primis Financial Corp. and Primis Bank (collectively, the “Company”) of his intention to resign as a director of the Company, effective as of August 31, 2026. Dr. Jones’ resignation was not the result of any dispute or disagreement with the Company or the Company’s Board of Directors on any matter relating to the operations, policies or practices of the Company. At the time of his resignation, Dr. Jones was a member of the Enterprise Risk Committee and as a result, will also be resigning as a member of the Enterprise Risk Committee. Effective upon Dr. Jones’ resignation as a director, the size of the Company’s Board of Directors will be reduced from eleven to ten directors.
