Rhea-AI Filing Summary

Foresight Autonomous Holdings Ltd. (FRSX) reminded shareholders that its voluntary delisting of ordinary shares from TASE is scheduled for January 4, 2027, with January 1, 2027 as the last trading day. The company says its ADSs, each representing 90 ordinary shares, will continue trading on Nasdaq and that the TASE delisting will not affect its Nasdaq listing or U.S. reporting obligations.

BNY will waive its issuance fees for conversions into ADSs through January 7, 2027. Beginning January 8, 2027, the fee will be $5.00 per 100 ADSs delivered or a fraction thereof; other bank or broker fees may apply. Deposits must result in whole ADSs, and deposits that would result in fractional ADSs will be rejected. After January 7, absent special arrangements with BNY, deliveries will be on a delivery-versus-payment basis, and the receiving DTC broker must accept delivery and payment of fees for settlement to be completed.

Filing Explained

In this November 2 Form 6-K, Foresight incorporates the press release’s first and third-through-eighth paragraphs and its forward-looking-statements section into specified existing F-3 and S-8 registration statements, making those portions part of them as of the filing date unless later superseded.

Last TASE trading day January 1, 2027 For Foresight ordinary shares
TASE delisting date January 4, 2027 For Foresight ordinary shares
ADS conversion ratio 90 ordinary shares per ADS Each ADS currently represents this number of ordinary shares
BNY issuance-fee waiver through January 7, 2027 Applies to conversion of ordinary shares into ADSs
BNY issuance fee $5.00 per 100 ADSs delivered or a fraction thereof Applies beginning January 8, 2027
American Depositary Shares financial
"American Depositary Shares (“ADSs”)"
American depositary shares (ADSs) are a way for investors in the United States to buy shares of foreign companies without dealing with international markets directly. They represent ownership in a foreign company's stock and are traded on U.S. stock exchanges, making it easier for American investors to buy, sell, and own parts of companies from around the world.
delivery-versus-payment financial
"on a delivery-versus-payment basis"
Delivery-versus-payment is a settlement method where the seller hands over securities only when the buyer’s payment is made, and the buyer pays only when the securities are delivered. Think of it like exchanging house keys and cash at the same time to avoid one side walking away with the goods or money; it matters to investors because it sharply cuts the risk of failed trades and protects cash and holdings, improving market reliability and liquidity.
The Depository Trust Company financial
"through The Depository Trust Company (“DTC”)"
The Depository Trust Company is a large organization that safely manages and keeps electronic records of ownership for stocks, bonds, and other securities. It acts like a digital warehouse, making it easier and faster for investors to buy, sell, and transfer investments without needing physical paper certificates. This helps ensure transactions are secure, accurate, and completed smoothly.
fractional ADSs financial
"deposits resulting in fractional ADSs will be rejected"
Fractional ADSs are portions of shares in a foreign company that are traded on a stock exchange through American Depositary Shares (ADSs). Instead of buying a full share, investors can purchase smaller parts, making it easier and more affordable to invest in companies from other countries. This allows more people to participate in international markets and diversify their investment portfolios.

Foresight Reminds Shareholders of Upcoming TASE Delisting and Encourages Conversion of Ordinary Shares into Nasdaq-Traded ADSs; BNY to Waive Issuance Fees Through January 7, 2027

NESS ZIONA, Israel, November 2, 2026 - Foresight Autonomous Holdings Ltd. (Nasdaq and TASE: FRSX) (“Foresight” or the “Company”), an innovator in 3D perception systems, today issued a reminder, further to its announcement dated September 30, 2026, regarding the voluntary delisting of its ordinary shares, no par value per share (the “Ordinary Shares”), from trading on the Tel Aviv Stock Exchange Ltd. (“TASE”). The Company encourages holders of Ordinary Shares traded on the TASE to contact their banks or brokers to arrange for the conversion of their Ordinary Shares into American Depositary Shares (“ADSs”).

As previously announced, the last day of trading of the Ordinary Shares on the TASE will be January 1, 2027, and the Ordinary Shares will be delisted from the TASE on January 4, 2027.

The Company’s ADSs, each currently representing ninety (90) Ordinary Shares, will continue to be listed and trade on the Nasdaq Capital Market (“Nasdaq”), under the symbol “FRSX.” The voluntary delisting from the TASE will not affect the Company’s listing on Nasdaq or its reporting obligations under U.S. securities laws.

The Bank of New York Mellon (“BNY”), the depositary for the Company’s ADS program, will waive its issuance fees for the conversion of Ordinary Shares into ADSs through January 7, 2027. Beginning January 8, 2027, BNY will charge issuance fees of $5.00 per 100 ADSs delivered or a fraction thereof. The waiver applies only to BNY’s issuance fees; shareholders should consult their banks or brokers regarding any other applicable fees or charges.

A conversion guide prepared by BNY, including custodian details, required delivery instructions, issuance fees and settlement procedures, is available on the Company’s website at https://ir.foresightauto.com/wp-content/uploads/2026/11/Foresight-Conversion-Guide-Shares-to-ADSs.pdf.

Shareholders are encouraged to review the guide and contact their banks or brokers promptly to allow sufficient time to complete the conversion and benefit from BNY’s fee waiver.

To convert Ordinary Shares into ADSs, shareholders should instruct their banks or brokers to deposit the Ordinary Shares with one of BNY’s Israeli custodians identified in the conversion guide and provide complete delivery instructions. Deposits must result in the issuance of whole ADSs; deposits resulting in fractional ADSs will be rejected by the custodians.

Shareholders should confirm in advance that their receiving broker is able to accept delivery of the ADSs through The Depository Trust Company (“DTC”). Unless the Company makes special arrangements with BNY, deliveries after January 7, 2027, will be made on a delivery-versus-payment basis for the applicable issuance fees. The receiving DTC broker must accept delivery and payment of those fees for settlement to be completed.
