Rhea-AI Filing Summary

direct listing financial
"approved for direct listing on the Nasdaq Capital Market"
A direct listing is a way for a company to become publicly available for trading without issuing new shares or raising additional money beforehand. Instead, existing shares are simply made available for purchase on the stock market, allowing current investors and employees to sell their holdings. This process can offer a simpler and faster way for a company to go public, giving investors quicker access to buy and sell shares.
registration statement regulatory
"effective registration statement filed on Form S-1"
A registration statement is a formal document that companies file with a government agency to offer new shares of stock to the public. It provides essential information about the company's finances, operations, and risks, helping investors make informed decisions. Think of it as a detailed product description that ensures transparency and trust before buying into a company.
selling shareholders financial
"resale from time to time ... by the selling shareholders"
Shareholders who are offering some or all of their shares for sale in a market transaction or as part of an offering; they can be founders, early investors, employees, or other holders deciding to convert ownership into cash. Investors care because selling shareholders can change the ownership mix, increase the number of shares available to trade, and signal insiders’ confidence or need for liquidity—like a large owner putting a big parcel on the market, which can affect price and voting control.
lock-up agreements financial
"absence of lock-up agreements"
A lock-up agreement is a contract that prevents company insiders—founders, employees, and early investors—from selling their shares for a set period after a public stock offering. It matters to investors because it keeps a large block of shares off the market temporarily; when the lock-up ends, those holders can sell and this increased supply can cause the stock price to fall, similar to a timed release that suddenly opens a valve.

The listing is being made in connection with an effective registration statement filed on Form S-1, as amended (the “Registration Statement”), with the Securities and Exchange Commission (the “SEC”) under the Securities Act of 1933, as amended (the “Securities Act”). The Registration Statement covers the potential resale from time to time of up to 7,074,016 shares of the Company's common stock by the selling shareholders named in the prospectus. The Company’s common stock has been registered under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), and GBC is subject to the reporting requirements of the Exchange Act and will file periodic reports with the SEC, including annual reports on Form 10-K and quarterly reports on Form 10-Q.

Performance Trust Capital Partners, LLC is acting as financial advisor to the Company in connection with the direct listing, and Troutman Pepper Locke LLP is serving as legal counsel to the Company.
