Rhea-AI Filing Summary

Global Partners LP announced that the board of its general partner, Global GP LLC, declared a $0.7850 per-unit cash distribution on all outstanding common units for July 1, 2026 through September 30, 2026, equivalent to $3.14 per unit on an annualized basis. Payment will be made November 13, 2026, to unitholders of record at the close of business November 9, 2026.

For distributions to non-U.S. investors, brokers and nominees should treat 100% as attributable to income effectively connected with a United States trade or business and 100% as in excess of cumulative net income for withholding purposes. Federal withholding is at the highest applicable effective tax rate plus 10%.

qualified notice regulatory
"providing qualified notice to brokers and nominees"
A qualified notice is a formal communication that meets the specific wording, timing and delivery rules set out in a contract, corporate policy or law so it is legally effective. Think of it like a certified letter that ticks every checkbox required by an agreement. Investors care because only a qualified notice can trigger rights or changes — such as deadlines, payments, defaults or board actions — and thus can materially affect a company’s obligations and share value.
effectively connected with a United States trade or business regulatory
"income that is effectively connected with a United States trade or business"
A tax status describing when income earned by a foreign person or entity is treated as tied to active business operations inside the United States. If income is 'effectively connected' to a U.S. trade or business, it is usually taxed like domestic business income rather than as passive foreign-sourced income; think of it as income earned by someone who has a real storefront or employees inside the U.S. rather than just selling from afar. Investors care because this classification changes tax rates, reporting requirements, and after-tax returns on U.S.-linked activities.
cumulative net income financial
"in excess of cumulative net income"
Cumulative net income is the running total of a company's net profit or loss summed over multiple reporting periods, often from a specific start date or since the company's founding. Net income itself is what remains after subtracting all expenses, interest, and taxes from revenue. For investors, cumulative net income shows the long-term accumulation of profitability or losses — like reading the balance of a checking account that reflects all past deposits and withdrawals rather than a single month’s activity.
withholding agents regulatory
"treated as the withholding agents responsible for withholding"
A withholding agent is an entity (often an employer, broker, or payer) that is legally required to hold back and remit taxes or other required amounts from payments made to a recipient, such as wages, dividends, interest, or contractor fees. For investors, this matters because withheld amounts affect the cash they receive, determine tax reporting and potential refunds, and influence net returns in cross-border or taxable transactions — like a cashier keeping part of a payment to cover a bill.
master limited partnership financial
"Global Partners, a master limited partnership"
A master limited partnership is a type of business structure that combines features of a corporation and a partnership, allowing it to raise money from investors while passing profits directly to them. Think of it as a shared ownership group that offers regular income, making it attractive to investors seeking steady cash flow. This structure is often used by companies involved in natural resources or energy, where consistent revenue is common.
