warrant exercise financial
"Guardian Metal Resources plc announces that the Company has received a notice to exercise warrants"
A warrant exercise is when the holder of a warrant pays a preset price to convert that warrant into actual company shares. Think of it like using a coupon to buy a product at a locked-in price; if the market price is higher, the buyer gains immediate value. For investors it matters because exercising brings cash into the company but also increases the total number of shares, which can reduce each existing shareholder’s ownership percentage and affect the stock price.
pari passu financial
"The Warrant Shares will rank pari passu in all respects with the ordinary shares"
An instruction that different claims, securities, or creditors are treated equally and share rights or payments on the same priority level. For investors, it means their position will be paid or have voting power alongside others in the same class rather than being favored or subordinated—think of several people standing in one bus line who all get on together rather than some cutting ahead. That parity affects expected recovery in reorganizations, dividend order, and relative risk.
total voting rights financial
"This number will represent the total voting rights in the Company"
The total voting rights number is the count of shares that carry the right to vote at a company’s shareholder meetings, reflecting how much voting power exists in the market. Investors use it to understand control and influence—like knowing how many votes are in play when measuring ownership stakes, calculating a shareholder’s voting percentage, or assessing how easy it would be for a holder to sway decisions.
Definitive Exploration Lease and Option to Purchase Agreement technical
"These Warrant Shares relate to Tempiute's Definitive Exploration Lease and Option to Purchase Agreement"
Title III of the Defense Production Act of 1950 regulatory
"the U.S. Department of War under Title III of the Defense Production Act of 1950"
strategic mineral exploration company financial
"is a strategic mineral exploration company driving the revival of U.S. mined tungsten"

About Guardian Metal Resources

Guardian Metal Resources PLC (NYSE.A: GMTL, LON:GMET, OTCQB:GMTLF) is a strategic mineral exploration company driving the revival of U.S. mined tungsten production and strengthening America's defence metal independence. The Company is advancing two co-flagship tungsten projects, Pilot Mountain, one of the largest undeveloped tungsten deposits in the U.S. and Tempiute, formerly one of America's largest producing tungsten operations, both located in Nevada, one of the top-rated mining jurisdictions in the world.

In July 2025, the U.S. Department of War (DoW) under Title III of the Defense Production Act of 1950, as amended, invested US$6.2M in Golden Metal Resources (USA) LLC, a wholly-owned subsidiary of Guardian Metal Resources PLC, to support the recently completed Pilot Mountain PFS. The Company completed a U.S. listing on the NYSE American on March 20, 2026.

Tungsten is a strategic metal critical to the defence, energy transition, technology, and industrial sectors. In the context of shifting geopolitical dynamics and tightening Chinese export restrictions, Guardian Metal is well positioned to play a leading role in re-establishing a secure, domestically mined U.S. supply chain for this vital defence metal.
