Genius
Group is providing an update on its legal case related to alleged market manipulation of the Company’s shares. The Company’s
litigation team handling the legal case, led by Wes Christian of Christian Smith & Jewell has notified the Company of the following
material facts related to the case:

legal team’s experts have completed the expert reports identifying the parties involved
in the alleged manipulation of the Company’s shares and verified the extent of the
wrongdoing and damages caused. |

Christian has provided the Company with a deadline set by the litigation team to file the
case in the coming weeks and by no later than November 15, 2025. |
Genius
Group will provide its next update with related to the case after the litigation team has filed the lawsuit.
