Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Eva Live Inc. (GOAI) disclosed that its September 17, 2026 Equity Purchase Agreement gives it the right, but not the obligation, to direct Hudson Global Ventures, LLC to purchase from time to time up to 5,000,000 shares of common stock for an aggregate purchase price of up to $10,000,000, subject to the agreement’s terms and conditions. Eva Live also issued Hudson a warrant to purchase 275,000 shares at an exercise price of $0.01 per share; the warrant is exercisable for five years at any time after September 17, 2026.

Filing Explained

The filing says the potential 5,000,000 put shares and 275,000 warrant shares are registered under a shelf effective March 24, 2026, with a prospectus supplement filed October 19, 2026; registration enables future issuance, not issuance itself, so added shares and dilution depend on a put purchase or warrant exercise.

Equity Purchase Agreement financial
"entered into an Equity Purchase Agreement"
An equity purchase agreement is a legal contract that sets the terms for buying ownership shares in a company, including the number of shares, price, and any conditions that must be met before the sale closes. For investors it matters because it determines how much ownership and control they gain, how the company’s value and share count change, and what protections or obligations each side has—think of it as the detailed bill of sale and ground rules for a stock purchase.
Common Stock Purchase Warrant financial
"issued to the Investor a Common Stock Purchase Warrant"
A common stock purchase warrant is a tradable certificate that gives its holder the right to buy a company’s common shares at a fixed price for a set period. Think of it as a coupon that lets you buy stock later at today’s agreed price; it can amplify gains if the share price rises but also can increase the total number of shares outstanding, which may reduce existing owners’ percentage of the company. Investors watch warrants because they offer leveraged upside and can affect future share value and ownership.
shelf registration statement regulatory
"registered pursuant to the Company’s shelf registration statement"
A shelf registration statement is a document a company files with regulators that allows it to sell shares or bonds quickly when it’s a good time to raise money. It’s like having a pre-approved plan ready so the company can act fast without going through lengthy paperwork each time they want to sell, making fundraising more flexible.
prospectus supplement regulatory
"a prospectus supplement to the base prospectus"
A prospectus supplement is an additional document provided alongside a company's main offering details, offering updated or extra information about a specific financial product being sold. It helps investors understand the latest terms, risks, and details of the investment, similar to how an update or revision clarifies or expands on original instructions, ensuring they have current and complete information before making a decision.
