Insights
Large institutional holders disclosed modest passive stakes under 5%.
The filing shows VARBX with 908,218 shares (3.95%) and a group of First Trust entities holding 1,027,441 shares (4.47%) as of March 31, 2026. These positions are reported with sole voting and dispositive power by the reporting advisers.
Because each stake is below 5%, the filing signals routine institutional ownership reporting rather than an activist or control intent; subsequent filings would show any material change in ownership levels.
Control and attribution are clarified via joint filing and adviser relationships.
The joint filing explains that FTCM acts as investment adviser to client accounts and that FTCS and Sub GP are control persons of FTCM, giving rise to attributed beneficial ownership of 1,027,441 shares. The exhibit references a Joint Filing Statement for attribution structure.
Investors should note the reporting clarifies attribution; governance implications depend on future changes above regulatory thresholds.

3 terms
beneficially ownedregulatory
"As of March 31, 2026 VARBX owned 908,218 shares of the outstanding Ordinary Shares"
Beneficially owned describes securities or assets where a person has the economic rights and control—such as the right to receive dividends and to direct voting—even if legal title is held in another name. Think of it like having the keys and using a car that’s registered to someone else: you get the benefits and make decisions. Investors care because beneficial ownership reveals who truly controls value and voting power, affecting corporate decisions and takeover dynamics.
sole dispositive powerregulatory
"Sole Dispositive Power 908,218.00"
Sole dispositive power is the exclusive legal authority to decide what happens to a security — for example, whether to sell, transfer, or retain shares — without needing anyone else’s permission. Investors care because it signals who truly controls the economic outcome of an investment: like holding the only key to a safe, the holder can realize gains or losses and may trigger regulatory reporting, insider rules, or influence over corporate ownership.
Investment Company Act of 1940regulatory
"an investment company registered under the Investment Company Act of 1940"
A U.S. federal law that sets the rulebook for pooled investment vehicles such as mutual funds, exchange-traded funds and similar money managers, requiring them to register with regulators, disclose holdings and fees, limit conflicts of interest, and follow governance standards. It matters to investors because these protections and transparency rules act like a referee and scoreboard, helping people compare funds, trust that managers follow fair practices, and spot hidden costs or risks.
What stake does First Trust Merger Arbitrage Fund (VARBX) hold in GRAF?
VARBX beneficially owned 908,218 shares of Graf Global Corp. as of March 31, 2026, representing 3.95% of the Class A Ordinary Shares, with sole voting and dispositive power over those shares.

Do the reporting persons claim voting or dispositive power over the shares?
Yes. The filing states that VARBX and the First Trust reporting persons each have sole power to vote and sole power to dispose of their reported shares, with shared powers reported as 0.
Why was this Schedule 13G/A filed jointly by multiple First Trust entities?
The amendment explains the filing is joint because FTCM acts as adviser to client accounts and FTCS and Sub GP are control persons of FTCM; the Joint Filing Statement attached clarifies attribution among those related entities.
Does this filing indicate any holder controls Graf Global?
No. The filing reports institutional ownership below 5% for each reporting grouping and states that no one individual controls FTCS or Sub GP; it does not assert control of the issuer itself.
