How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Adjusted EBITDA financial
"Adjusted EBITDA was $33.9 million, up 24%."
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
Adjusted EPS financial
"with Adjusted EPS of $0.33."
Adjusted earnings per share (adjusted eps) is a measure of a company's profit per share that has been modified to exclude certain one-time or unusual items, such as costs from restructuring or asset sales. It provides a clearer picture of the company’s core performance by removing events that may distort the usual earnings. Investors use adjusted eps to better understand a company's ongoing profitability and compare it more accurately over time.
non-GAAP financial measures financial
"financial measures not based on any standardized methodology prescribed by GAAP"
Non-GAAP financial measures are numbers companies use to show their financial performance that exclude certain expenses or income. They help investors see how the company might perform without one-time costs or other unusual items, giving a different perspective from official reports. However, since they can be adjusted, they don’t always tell the full story and should be looked at alongside standard financial figures.
payor-reimbursement matters financial
"Payor-reimbursement matters (4)"
share-based compensation financial
"Share-based compensation expense"
Share-based compensation is when a company pays employees, executives or directors with its own stock or rights to buy stock instead of, or in addition to, cash. Think of it like receiving store gift cards instead of extra paycheck — it can motivate staff to boost the company’s value, but it also increases the number of shares outstanding and can shrink each existing owner’s slice of profits and voting power. Investors watch it because it affects reported earnings, share count and the alignment between management and shareholders.

"We are very pleased with our third-quarter performance, highlighted by strong resident and prescription growth. Absent the price reductions from the IRA, revenues would have been up high single digits compared to the third quarter of 2025, mostly driven by organic growth,” said Fred Burke, President and Chief Executive Officer. "Our margin improvement demonstrates the scalability of Guardian's operating model, as well as the progress we are making in driving profitability and leverage across our growing resident base. This performance, together with our positive outlook for the remainder of the year, supports our decision to raise full-year guidance.”

Burke added, “With favorable industry fundamentals, a substantial runway for growth, and a liquid balance sheet, we believe Guardian is well positioned to generate durable growth and attractive long-term returns for shareholders."

M&A and Greenfields

Guardian continued to advance its growth strategy during the quarter in both new and adjacent markets.

In July, Guardian completed the acquisition of Wellness Concepts, a long-term care pharmacy serving Virginia's Shenandoah Valley region. This pharmacy has an established reputation for high-quality service and care, and its integration is progressing as planned.

Guardian also completed the acquisition of certain assets of Nautilus, a pharmacy services provider that previously served assisted living communities across 14 states through a centralized mail-order model. Guardian successfully transitioned the acquired resident base to 18 existing pharmacies within Guardian’s network, providing these communities access to Guardian's locally managed, high-touch pharmacy services. The transaction offers an attractive opportunity to leverage existing infrastructure and operating capacity to generate incremental earnings with limited additional investment.

Subsequent to quarter-end, we added a small pharmacy in Sioux City, Iowa. Collectively, with our existing pharmacy in that area, it gives us a more significant presence in the Northwest part of the state.

Earlier this week, Guardian completed the acquisition of Van's Institutional Pharmacy, a well-established long-term care pharmacy serving communities across western Tennessee and Kentucky. With a history spanning more than 50 years, Van's brings a strong reputation for quality care and service. The acquisition increases Guardian's Tennessee footprint to five pharmacy locations.

Guardian also made progress on its greenfield development initiatives. Its previously announced pharmacy in Lexington, Kentucky is now operational. We are also advancing plans to expand our presence in Texas and Alabama, with new locations in Houston and Huntsville, respectively. Each location will represent our second pharmacy in those states.

To support its expanding pharmacy network, Guardian continues to strengthen regional leadership and operational coordination, with a focus on sharing best practices, enhancing customer service, and capturing efficiencies while preserving the locally managed operating model that distinguishes the Company.

Share Structure and Insider Ownership

On September 27, 2026, approximately 13.5 million shares of Guardian's Class B common stock converted into Class A common stock, completing the two-year share conversion process that commenced with the Company's September 2024 corporate reorganization effected in connection with its initial public offering (“IPO”).

Prior to the conversion, Guardian's founders, executive officers, and certain other employees entered into lock-up agreements covering approximately 29.9 million shares, representing approximately 80% of the Class A shares held by founders, executive officers, and other pre-IPO employee shareholders. These shares remain subject to lock-up restrictions through September 14, 2027, subject to limited exceptions.

The substantial continued ownership by Guardian's founders, management team, and employees reinforces their long-term alignment with Guardian’s public shareholders.

Use of Non-GAAP Financial Measures

To supplement the results presented in our consolidated financial statements in accordance with GAAP, we also present Adjusted EBITDA, Adjusted Net Income, and Adjusted EPS, which are financial measures not based on any standardized methodology prescribed by GAAP.
We define Adjusted EBITDA as net income before interest expense (income), income taxes, depreciation and amortization, as adjusted to exclude the impact of items and amounts that we view as not indicative of our core operating performance, including share-based compensation, certain legal and regulatory items, financing-related and other activities, and payor-reimbursement matters.
We define Adjusted Net Income as net income attributable to Guardian Pharmacy Services, Inc. before share-based compensation expense, certain legal and other regulatory items, financing-related and other activities, payor-reimbursement matters, amortization expense associated with acquisition-related intangible assets, and the income tax impact of the adjustments.
We define Adjusted EPS as Adjusted Net Income divided by the total weighted average of diluted shares for Class A common stock and Class B common stock.
Adjusted EBITDA, Adjusted Net Income, and Adjusted EPS do not have a definition under GAAP, and our definition of Adjusted EBITDA, Adjusted Net Income, and Adjusted EPS may not be the same as, or comparable to, similarly titled measures used by other companies.
We use Adjusted EBITDA, Adjusted Net Income, and Adjusted EPS to better understand and evaluate our core operating performance and trends. We believe that presenting Adjusted EBITDA, Adjusted Net Income, and Adjusted EPS provides useful information to investors in understanding and evaluating our operating results, as it permits investors to view our core business performance using the same metrics that management uses to evaluate our performance.
There are a number of limitations related to the use of Adjusted EBITDA, Adjusted Net Income, and Adjusted EPS rather than the most directly comparable GAAP financial measure, including:
•    Adjusted EBITDA does not reflect interest and income tax payments that represent a reduction in cash available to us;
•Depreciation and amortization are non-cash charges and the assets being depreciated may have to be replaced in the future, and Adjusted EBITDA does not reflect cash capital expenditure requirements for such replacements or for new capital expenditure requirements;
•Adjusted EBITDA, Adjusted Net Income, and Adjusted EPS do not reflect changes in, or cash requirements for, our working capital needs;
•Adjusted EBITDA, Adjusted Net Income, and Adjusted EPS do not consider the impact of share-based compensation; and
•Adjusted EBITDA, Adjusted Net Income, and Adjusted EPS exclude the impact of certain legal and regulatory items, and payor-reimbursement matters which can affect our current and future cash requirements.
Because of these limitations, Adjusted EBITDA, Adjusted Net Income, and Adjusted EPS should not be considered in isolation from, or as a substitute for, financial information prepared in accordance with GAAP. You should consider Adjusted EBITDA, Adjusted Net Income, and Adjusted EPS alongside other financial measures, including net income, diluted EPS, and our other financial results presented in accordance with GAAP.
A reconciliation of Adjusted EBITDA to net income and of Adjusted Net Income to Net Income Attributable to Guardian Pharmacy Services, Inc., the most directly comparable GAAP financial measures, are set forth below.
Guardian has not provided a quantitative reconciliation of forecasted adjusted EBITDA to forecasted net income within this release because Guardian is unable, without making unreasonable efforts, to calculate certain reconciling items with confidence due to the variability and complexity of such items. These items include, but are not limited to, income taxes and share-based compensation. These items, which could materially affect the computation of forecasted net income, are inherently uncertain and depend on various factors that are not estimable at this time.
