Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Filing Explained

The proposed $44 million payment remains subject to court approval, and approval would still leave other disclosed lawsuits unresolved.

On October 16, 2026, ZoomInfo says it and plaintiffs signed a memorandum of understanding for a proposed settlement of the securities class action. The terms provide for a $44 million payment by ZoomInfo to the putative class, with part expected to be covered by remaining insurance funds, in exchange for dismissal and release of claims; court approval and other conditions are still required.

Even if approved, the settlement would not resolve the two derivative lawsuits, a separate investor action by opt-outs, or the unrelated putative class action filed in June 2026; those matters remain ongoing.

Item 1.01 Entry into a Material Definitive Agreement Business
The company signed a significant contract such as a merger agreement, credit facility, or major partnership.

Item 1.01    Entry into Material Definitive Agreement.
As previously disclosed, on September 4, 2024, a putative securities class action lawsuit (the “Securities Litigation”) was filed in the United States District Court for the Western District of Washington (the “Washington District Court”) against ZoomInfo Technologies Inc. (the “Company” and, together with its subsidiaries, “ZoomInfo”) and certain of its current and former officers and affiliates (the “Defendants”). The Securities Litigation was brought on behalf of individuals who purchased Company common stock between November 10, 2020, and August 5, 2024. The complaint alleged that the Defendants made false and/or misleading statements related to the Company’s business, operations, and prospects, including the effects of the COVID-19 pandemic on the Company’s performance, in violation of the Securities Exchange Act of 1934.
On October 16, 2026, the parties executed a memorandum of understanding setting forth the terms of a proposed settlement (the “Proposed Settlement”) of the Securities Litigation. Among other things, the Proposed Settlement provides for a payment by ZoomInfo to the putative class in the amount of $44 million, a portion of which is expected to be covered by remaining insurance funds, in exchange for the dismissal of the Securities Litigation and a release of claims against the Defendants.
The Proposed Settlement is subject to preliminary and final approval by the Washington District Court and certain other conditions. The Proposed Settlement is not an admission of fault or wrongdoing by ZoomInfo or any other Defendant. Rather, the Company believes that resolving the Securities Litigation at this time is in the best interests of the Company and its stockholders given the costs, uncertainty, and distraction of continued litigation.
While the Proposed Settlement, if approved, would resolve the Securities Litigation, it would not resolve or otherwise impact (i) the previously disclosed, related shareholder derivative lawsuits filed against certain of the Company’s current and former directors and officers pending in the Washington District Court and the Delaware Court of Chancery; (ii) a related, direct (i.e., non-class) action filed in the Washington District Court by certain ZoomInfo investors who have indicated their intent to opt out of the Securities Litigation; or (iii) the previously disclosed, unrelated putative class action lawsuit filed against ZoomInfo and certain current officers on June 25, 2026, in the Washington District Court. Those matters remain ongoing, and the Company intends to continue to vigorously defend against these lawsuits.
