The Linonia Partnership GP LLC, a Delaware Limited Liability Company, serves as the general partner of the Investment Manager (the "General Partner") and Philip Uhde serves as the Principal of the Investment Manager and the Managing Member of the General Partner. By virtue of these relationships, the Fund, the Investment Manager, the General Partner, and Philip Uhde may be deemed to have shared voting and dispositive power with respect to the Shares owned directly by the Fund.
