Rhea-AI Filing Summary

Game Your Game, Inc. received a Nasdaq notice that its common stock no longer met the $1.00 per-share minimum bid-price requirement after 30 consecutive business days, from September 15 through October 26, 2026. It has until April 26, 2027 to regain compliance by having a closing bid of at least $1.00 for 10 consecutive business days; its stock remains listed on the Nasdaq Capital Market during this period. It may be eligible to seek an additional 180 calendar days if it meets Nasdaq’s other stated listing standards and gives written notice of its intent to cure, including by a reverse stock split if necessary.

Effective October 28, 2026, the company appointed Veronica V. Montenegro as a director, chair of the nominating and corporate governance committee, and member of the audit and compensation committees. Her annual compensation includes $50,000 in board cash compensation, an additional $27,500 in aggregate committee cash compensation, and stock options with an aggregate annual grant date fair value of $77,500. The options are fully vested on grant and have a 10-year term.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Minimum Bid Price Requirement regulatory
"the “Minimum Bid Price Requirement”"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
Nasdaq Listing Rule 5810(c)(3)(A) regulatory
"In accordance with Nasdaq Listing Rule 5810(c)(3)(A)"
grant date fair value financial
"aggregate grant date fair value of $77,500 annually"
The grant date fair value is the estimated dollar worth of a stock-based award (such as stock options or restricted shares) at the exact moment it is given to an employee or contractor. Investors care because companies use that value to record compensation expenses and to show how much potential ownership and earnings dilution those awards could create—think of it as the price tag placed on a gift card when it is handed over so the company can report the cost now.

FAQ

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

When does GYGY have to meet Nasdaq’s $1 bid-price rule?

GYGY has until April 26, 2027 to regain compliance. Its closing bid must be at least $1.00 for 10 consecutive business days during the 180-calendar-day period. Nasdaq staff may extend the 10-business-day measurement period at its discretion.

How is Veronica V. Montenegro compensated as a GYGY director?

Her annual compensation includes $50,000 for board service, an additional $27,500 in aggregate for committee service, and stock options with an aggregate annual grant date fair value of $77,500. Cash compensation and option grants are payable or issued in quarterly installments in arrears, prorated for her initial partial quarter.

Can GYGY receive another Nasdaq compliance period?

The company may be eligible to seek an additional 180 calendar days if it meets the continued listing requirement for market value of publicly held shares and the other initial listing standards for the Nasdaq Capital Market, apart from the minimum bid-price requirement. It must also give Nasdaq written notice of its intent to cure, including by effecting a reverse stock split if necessary.

What are the terms of GYGY’s new director stock options?

Each option will have an exercise price equal to the fair market value of a common share on its grant date, will be fully vested on that date, and will have a 10-year term. The options will be issued under the company’s 2026 Equity Incentive Plan and the applicable stock option award agreement.

Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On October 27, 2026, Game Your Game, Inc. (the “Company”) received a letter (the “Notice”) from the Listing Qualifications Staff (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that, based upon the closing bid price of the Company’s common stock for the last 30 consecutive business days beginning on September 15, 2026, and ending on October 26, 2026, the Company no longer meets the requirement to maintain a minimum bid price of $1.00 per share, as set forth in Nasdaq Listing Rule 5550(a)(2) (the “Minimum Bid Price Requirement”).

In accordance with Nasdaq Listing Rule 5810(c)(3)(A), the Company has been provided a period of 180 calendar days, or until April 26, 2027, in which to regain compliance. In order to regain compliance with the Minimum Bid Price Requirement, the closing bid price of the Company’s common stock must be at least $1.00 per share for 10 consecutive business days during this 180-day period, unless the Staff exercises its discretion to extend such 10-consecutive business day period. In the event that the Company does not regain compliance within this 180 day period, the Company may be eligible to seek an additional compliance period of 180 calendar days if it meets the continued listing requirement for market value of publicly held shares and all other initial listing standards for the Nasdaq Capital Market, with the exception of the Minimum Bid Price Requirement, and provides written notice to Nasdaq of its intent to cure the deficiency during the additional compliance period by effecting a reverse stock split, if necessary. However, if the Company is not eligible for the additional compliance period, or if it appears to the Staff that the Company will not be able to cure the deficiency, the Staff will provide written notice to the Company that its common stock will be subject to delisting. At that time, the Company may appeal the Staff’s delisting determination to a Nasdaq Hearing Panel.

The Notice does not result in the immediate delisting of the Company’s common stock from the Nasdaq Capital Market, and the Company’s common stock will continue to be listed and trade on the Nasdaq Capital Market under the symbol “GYGY” during the compliance period. The Company intends to monitor the closing bid price of the Company’s common stock and consider its available options in the event that the closing bid price of the Company’s common stock remains below $1.00 per share. There can be no assurance that the Company will be able to regain compliance with the Minimum Bid Price Requirement or maintain compliance with the other Nasdaq listing requirements.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
