This Amendment No. 1 amends and supplements the Tender Offer Statement on Schedule TO originally filed with the United States Securities and Exchange Commission (the “SEC”) by The Hackett Group, Inc., a Florida corporation (“Hackett” or the “Company”), on November 5, 2025 (the “Schedule TO”), in connection with the Company’s offer (the “Offer”) to purchase up to $40 million in value of shares of its common stock, $0.001 par value per share (the “Shares”), at a price not greater than $21.00 nor less than $18.30 per Share, to the seller in cash, less any applicable withholding taxes and without interest.

Only those items amended or supplemented are reported in this Amendment No. 1. Except as specifically provided herein, the information contained in the Schedule TO remains unchanged.
