Rhea-AI Filing Summary

The company says it has observed, over more than ten consecutive quarters, that its strong earnings results often spark positive after-hours reactions, yet the next regular-session closing price frequently falls below the prior close.

Management and the board, working with the company’s market maker, have been reviewing trading data and now believe some activity may not reflect normal market forces and may be contrary to securities laws. Insights

High Tide plans an expert-led review of trading in its shares and may escalate findings to regulators.

High Tide Inc. reports a pattern where positive earnings results and after-hours reactions are followed by next-day closing prices below the prior close. The company, with its market maker, has been monitoring trading data, position reports, and activity around earnings and other disclosure events.

Based on this review, it now believes some trading may not reflect normal market forces and may be contrary to securities laws. High Tide intends to retain forensic investigators and industry specialists in market structure to conduct an independent analysis. It plans to provide investigation results and supporting evidence to Canadian and U.S. securities regulators and self-regulatory organizations and to cooperate with any inquiry.

The company is also soliciting information from shareholders and market participants via its investor relations email, signaling an effort to gather additional data. The announcement emphasizes management’s focus on protecting shareholders and maintaining a fair, transparent market for its common shares, while noting that outcomes remain subject to the risks described in its risk-factor disclosures.

TSXV recognition years 2022, 2024, 2025 Recognized as a top 50 TSXV company
market maker financial
"The Company, together with its market maker, has been monitoring trading patterns"
A market maker is a firm or individual that stands ready to buy and sell a particular stock or other security throughout the trading day, posting prices at which it will transact so buyers and sellers can trade quickly. Think of it as a shopkeeper who keeps inventory and posts prices to ensure someone can always buy or sell; this reduces delays, narrows price swings, and helps investors execute trades at fairer, more predictable prices.
forensic investigators financial
"The Company intends to retain qualified forensic investigators and industry specialists"
Forensic investigators are specialists who examine a company’s records, electronic systems and transactions like a detective inspecting a scene, looking for fraud, errors or regulatory breaches. Their work matters to investors because findings can reveal hidden losses, legal risks or accounting problems that materially change a company’s value or future earnings, much like uncovering a crack in a building’s foundation changes its safety and worth.
securities market structure financial
"specialists with experience in securities market structure and trading surveillance"
self-regulatory organizations regulatory
"including securities commissions and self-regulatory organizations with jurisdiction over trading conduct"
Self-regulatory organizations are non-government bodies that set and enforce rules for participants in a market or industry, such as exchanges overseeing brokers and trading behavior. They matter to investors because they help keep markets fair, reduce fraud and conflicts of interest, and enforce standards—like a neighborhood association that creates and polices rules so residents can trust the community—impacting market transparency, costs and investor protection.
forward-looking statements regulatory
"CAUTIONARY NOTE REGARDING FORWARD-LOOKING STATEMENTS This press release may contain "forward-looking information""
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.
medical cannabis medical
"importation and wholesale of medical cannabis products at affordable prices"
Medical cannabis is the use of cannabis plant extracts or compounds such as THC and CBD as prescribed or recommended to treat symptoms or medical conditions. Think of it as a plant-based medicine that can relieve pain, nausea, muscle spasms or other symptoms where conventional drugs may not work; for investors it matters because legal status, clinical evidence, supply rules and insurance coverage determine market size, licensing value and revenue potential.

("High Tide" or the "Company") (Nasdaq: HITI) (TSXV: HITI) (FSE: 2LYA), the high-impact, retail-forward enterprise built to deliver real-world value across every component of cannabis, today provides the following statement in connection with commentary that has recently appeared in various online forums and investor communities regarding the trading activity in the Company's common shares.

High Tide Inc., April 23, 2026 (CNW Group/High Tide Inc.)

The Company wishes to address directly the concerns that have been raised, both publicly and through direct communications to management, regarding unusual trading patterns in High Tide common shares. The Company takes these concerns seriously. The board of directors and senior management have been actively monitoring and reviewing trading data in connection with the Company's common shares, including trading activity around the Company's earnings release dates.

Over the course of more than the last ten consecutive quarters, the Company has delivered exceptional financial results almost always ahead of the expectations of analysts which cover its shares. Despite consistently positive after-hours market reactions to those results, the Company has observed a recurring pattern in which the closing price of its common shares on the following regular trading day has been lower than the prior day's closing price. The Company, together with its market maker, has been monitoring trading patterns, position reports, and related data in an effort to understand the source and nature of this activity.

Based on the information gathered to date, the Company has reasonable grounds to believe that certain trading activity in its shares may not reflect normal market forces, and that certain conduct may be contrary to applicable securities laws in Canada and the United States. The Company intends to take decisive and proactive steps to fully investigate this matter.

Steps Being Taken

The Company intends to retain qualified forensic investigators and industry specialists with experience in securities market structure and trading surveillance. These experts will conduct a thorough and independent review of the trading activity in High Tide common shares, with particular focus on activity surrounding the Company's earnings releases and other material disclosure events.

The Company intends to provide the findings of that investigation, together with any supporting evidence, to the applicable regulatory authorities in Canada and the United States, including securities commissions and self-regulatory organizations with jurisdiction over trading conduct. The Company will cooperate fully with any regulatory inquiry that may arise from this matter.

High Tide's management and board of directors are committed to protecting the interests of all shareholders and to ensuring that the market for the Company's common shares operates in a fair, transparent, and efficient manner consistent with the expectations of investors and the requirements of applicable law.

Shareholder Communication

The Company encourages any shareholder or market participant who has information relevant to unusual trading activity in High Tide common shares to contact the Company at ir@hightideinc.com. All information received will be treated with appropriate confidentiality.
