Anticipated consideration $27 million USD Proposed acquisition of Entropica Labs, payable in Horizon Quantum Class A ordinary shares
non-binding letter of intent financial
"entered into a non-binding letter of intent"
A non-binding letter of intent is a preliminary document that outlines the main terms and expectations of a proposed transaction—such as a merger, acquisition, investment or partnership—without creating a legally enforceable obligation to complete the deal. Think of it as a written handshake or shopping list: it signals serious interest and sets the framework for negotiations and due diligence, which can move markets, but it does not guarantee the transaction will happen until a final, binding agreement is signed.
Class A ordinary shares financial
"in the form of its Class A ordinary shares"
Class A ordinary shares are a type of ownership stake in a company that typically grants voting rights to shareholders, allowing them to have a say in important company decisions. They often come with priority in receiving dividends or profits, making them attractive to investors seeking influence and potential income. These shares help distinguish different levels of ownership and rights within a company's stock structure.
fault tolerance technical
"specializing in error correction and fault tolerance"
Fault tolerance is a system's ability to keep working correctly even when some parts fail, by automatically detecting problems and switching to backup components or processes. For investors, it matters because fault-tolerant systems reduce the risk that outages, data loss, or errors will interrupt trading, reporting, or customer services—similar to how a backup generator keeps lights on during a power cut.
error correction technical
"specializing in error correction and fault tolerance"
An error correction is a market move that reverses a recent, often exaggerated price change to bring a stock or other security closer to its underlying value, like a course correction on a boat steering back after an oversteer. Investors watch error corrections because they can signal that a prior rally or sell-off was driven more by emotion or technical trading than fundamental news, creating potential buying or selling opportunities and affecting short‑term risk.
