How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

Number of rating-5 loans rose from five to seven between June and September 2026, while their fair value declined from $31.3 million to $18.8 million.

The company reports third-quarter results and completed amendments to two senior secured facilities: one facility’s final maturity was extended to June 2034; the other’s was extended to December 2035, its commitment was reduced by $50.0 million, and the advance-request period runs through July 21, 2027.

At September 30, 2026, borrowings were $402,719 thousand; net debt-to-equity leverage was 82% against a stated 120% target, and asset coverage was 189%.

Horizon changed its internal credit-rating scale effective June 30, 2026 and recast presented prior periods; on the 1-to-5 scale, ratings 4 or 5 mean deteriorating credit quality and increased risk of principal loss.

dollar-weighted annualized yield on average debt investments financial
"dollar-weighted annualized yield on average debt investments for the quarter"
payment-in-kind interest income financial
"Payment-in-kind (“PIK”) interest income"
Payment-in-kind (PIK) interest income is interest a lender or investor earns when the borrower pays by increasing the loan balance or issuing more debt instead of sending cash. It matters because it boosts reported income without improving immediate cash flow, can hide rising borrower stress or leverage, and affects valuation and risk assessment much like interest that gets added to a credit-card balance instead of being paid down.
non-accrual status financial
"two debt investments previously on non-accrual status"
A loan or credit account is placed in non-accrual status when the lender stops recording expected interest income because the borrower is not making scheduled payments or repayment is doubtful. Think of it like a landlord who stops counting unpaid rent as future income once a tenant stops paying; it signals rising credit problems and potential losses. For investors, non-accrual levels indicate loan quality and can foreshadow write-downs, lower earnings, and increased risk to a lender’s balance sheet.
undistributed spillover income financial
"Undistributed spillover income of $0.24 per share"
asset coverage ratio financial
"asset coverage ratio for borrowed amounts was 189%"
Asset coverage ratio measures how much of a company’s debt or preferred claims could be paid off using its tangible assets if the business had to be sold. It’s a safety check for investors and creditors, showing the size of the asset “cushion” available to meet obligations; a higher ratio means more protection, like having enough savings and sellable belongings to cover outstanding bills, while a low ratio signals greater risk of loss.

“We were pleased to grow our debt investment portfolio for the fourth consecutive quarter, funding nine loans totaling $98.4 million, and delivering NII which once again covered our regular distributions,” said Mike Balkin, Chief Executive Officer of Horizon. “Additionally, we believe that the meaningful increase in our pipeline from the prior quarter-end reflects our strength in sourcing high-quality debt investment opportunities, as well as the benefits of our relationship with Monroe Capital. While we work on growing our portfolio, we remain focused on rigorously managing our stressed debt investments, which continued to impact our NAV per share in the quarter. As we close out 2026, with our strong balance sheet and increasingly robust pipeline, we believe we are in an excellent position to further grow our portfolio and drive long-term value creation for shareholders. To support that effort, we are pleased to create the new role of Chief Growth and Strategy Officer at Horizon’s Advisor and to appoint Manuel Henriquez to this position. We look forward to his contributions as we build on our momentum.”

Third Quarter 2026 Operating Results

Total investment income for the quarter ended September 30, 2026 was $24.1 million, compared to $26.3 million for the quarter ended September 30, 2025, primarily due to lower interest income on debt investments.

The Company’s dollar-weighted annualized yield on average debt investments for the quarter ended September 30, 2026 and 2025 was 14.7% and 18.6%, respectively. The Company calculates the dollar-weighted annualized yield on average debt investments for any period measured as (1) total investment income (excluding dividend income) during the period divided by (2) the average of the fair value of debt investments outstanding on (a) the last day of the calendar month immediately preceding the first day of the period and (b) the last day of each calendar month during the period. The dollar-weighted annualized yield on average debt investments is higher than what investors will realize because it does not reflect expenses or any sales load paid by investors. The dollar-weighted annualized yield on average debt investments for the three months ended September 30, 2026 as compared to the three months ended September 30, 2025 decreased primarily due to the recognition and capitalization of accrued, but previously unrecorded interest income in connection with the settlement of two debt investments previously on non-accrual status during the three months ended September 30, 2025.

plogo01.jpg

Total net expenses for the quarter ended September 30, 2026 were $11.5 million, compared to $12.0 million for the quarter ended September 30, 2025. The decrease was primarily due to a $0.7 million decrease in the base management fee and a $0.1 million decrease in interest expense, partially offset by a $0.3 million increase in professional fees.

Horizon’s Advisor waived $1.0 million of base management fees earned for the quarter in connection with the previously completed merger with Monroe Capital Corporation, in which Horizon’s Advisor agreed to waive $4.0 million of base management fees and/or incentive fees (the “Fee Waiver”) due and payable to the Advisor pursuant to the terms of the Investment Management Agreement at the rate of $1.0 million per quarter commencing with the Company’s third quarter of 2026. The Fee Waiver is in effect until the end of the Company’s second quarter of 2027 and, for each applicable quarter, will not exceed the total amount of base management fees and incentive fees earned by the Advisor during such quarter.

Net investment income for the quarter ended September 30, 2026 was $12.3 million, or $0.19 per basic share, compared to $14.0 million, or $0.32 per basic share, for the quarter ended September 30, 2025.

For the quarter ended September 30, 2026, net realized loss on investments was $11.3 million, or $0.17 per basic share, compared to a net realized loss on investments of $22.5 million, or $0.52 per basic share, for the quarter ended September 30, 2025. For the quarter ended September 30, 2025, net realized loss on extinguishment of debt was $1.3 million, or $0.03 per basic share.

For the quarter ended September 30, 2026, net unrealized depreciation on investments was $29.1 million, or $0.44 per basic share, compared to net unrealized appreciation on investments of $40.5 million, or $0.94 per basic share, for the prior-year period.

Portfolio Asset Quality

Effective June 30, 2026, Horizon’s Advisor changed its internal credit rating scale to adopt the scale used by the wider Monroe Capital platform. Horizon’s Advisor made this change in order to improve consistency and efficiency in its portfolio risk assessment by aligning the scale used by Horizon to the scale used by its affiliated entities, with whom Horizon has made, and it anticipates it will continue to make, co-investments. Accordingly, Horizon’s internal credit rating methodology was changed from a 4-to-1 scale (on which a 4 represented the highest credit quality) to a 1-to-5 scale (on which a 1 represents the highest credit quality).

Horizon’s Advisor (i) rated all of Horizon’s debt investments as of September 30, 2026 under the new 1-to-5 scale and (ii) recast the credit ratings of the debt investments for all of the prior periods presented in this release to the new 1-to-5 scale. The ratings and recast ratings in this release are made based on the same proprietary credit assessment process Horizon’s Advisor regularly utilizes on a quarterly basis, as applied to the facts and circumstances existing at the applicable reporting date.

The following table shows the classification of Horizon’s loan portfolio at fair value by internal credit rating, in each case presented under the updated 1-to-5 scale, as of September 30, 2026, June 30, 2026 and December 31, 2025 (recast):

Under the updated 1-to-5 scale, Horizon’s debt investments had a weighted average credit rating of 2.3 as of both September 30, 2026 and June 30, 2026, respectively. On a recast basis, Horizon’s debt investments had a weighted average credit rating of 2.4 as of December 31, 2025. Weighted average credit ratings previously reported on the 4-to-1 scale (2.9 as of December 31, 2025) are not directly comparable to ratings under the updated scale due to the change in credit rating methodology. A rating of 1 represents a debt investment that is exhibiting the lowest level of risk and the debtor is generally significantly exceeding expectations (typically reserved for debt investments where a full repayment is expected in the near term as a result of strong performance). Newly funded debt investments are typically assigned a rating of 2, which represents a debt investment performing as expected with risk factors that are neutral or positive since origination. A rating of 3 represents investments performing below expectations and indicates that the risk has increased somewhat since origination. A rating of 4 or 5 represents a deteriorating credit quality and an increased risk of loss of principal.
