i-80 Gold Corp. will issue 3,453,237 Common Shares at US$1.39 per share as consideration to Vox Royalty Corp. (as nominee of Vox Royalty Cayman) to terminate and fully settle the Amended and Restated Offtake Agreement dated August 23, 2023. The issuance is a non-cash transaction; the Company will not receive proceeds from the issuance.
The Offtake Termination and Settlement Agreement also includes a cash payment to settle obligations for ore processed in April–June 2026 and requires release of the BMO security interest prior to or concurrently with closing.
