incremental term loans financial
"provides for $250 million of incremental term loans"
Additional borrowings added onto an existing term loan facility as one or more extra tranches, often with their own size, interest rate, and repayment schedule but governed by the same loan agreement. Think of it like taking out an extra mortgage slice on top of an existing mortgage to fund a specific need; for investors, incremental term loans change a company’s total debt, interest costs and repayment schedule, and can affect credit metrics and lender covenants.
Tranche B-3 Term Loans financial
"increase to the Company’s existing Tranche B-3 Term Loans"
adjusted term secured overnight financing rate financial
"adjusted term secured overnight financing rate plus 1.75% per annum"
A benchmark interest rate that starts with the Secured Overnight Financing Rate (SOFR) and converts it into a forward-looking term rate with an added adjustment or spread to reflect credit and term costs not captured in overnight funding. It is used in contracts and loans as a reference for interest payments, and matters to investors because it changes the effective cost or yield on debt instruments much like a corrected thermometer changes the temperature reading to account for insulation.
alternative base rate financial
"an alternative base rate plus 0.75% per annum"
An alternative base rate is a substitute benchmark interest rate designated to replace or stand in for a primary reference rate used in loans, bonds and other contracts when that original rate is unavailable or being phased out. It matters to investors because switching benchmarks can change borrowing costs, coupon payments and valuations — like swapping a recipe’s main ingredient, the replacement can alter the ‘flavor’ and price of a deal, so the exact replacement method and any added spread are important to watch.
