Item 5.02
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 2, 2026, the Board of Directors (the "Board") of International Flavors & Fragrances Inc. (the "Company") approved one-time equity and cash transaction incentive awards (the "Transaction Incentive Awards") for certain members of the Company's executive leadership team, including certain of the Company's named executive officers. The awards relate to the Company's previously announced sale of its Food Ingredients business (the "Transaction"), as described in the Company's Current Report on Form 8-K filed on June 1, 2026.
The Transaction Incentive Awards are intended to reinforce and align the priorities of key executives with the successful completion of the Transaction and to reduce risk associated with closing and the post-closing transition period. The Board approved the awards, which are in addition to the Company's regular annual and long-term incentive programs, in recognition of the importance of the Transaction to the Company and its shareholders and the complexity of completing the Transaction. The Board granted the award to J. Erik Fyrwald, Chief Executive Officer, in the form of Restricted Stock Units ("RSUs") with three-year cliff vesting so that the ultimate value of his award will depend on the Company's share price performance following the Transaction, further aligning his interests with those of the Company's shareholders.
No Transaction Incentive Award will be paid or vest unless the Transaction closes. If the definitive agreement for the Transaction is terminated, all Transaction Incentive Awards will be forfeited without payment.
Cash Awards. Each Transaction Incentive Award other than Mr. Fyrwald's will be paid in a single cash lump sum three months after the closing date of the Transaction, provided the executive remains employed by the Company through the payment date. An executive whose employment ends for any reason before the payment date will forfeit the award.
Chief Executive Officer Equity Award. Mr. Fyrwald received on November 2, 2026 a grant of RSUs under the Company's 2021 Amended and Restated Stock Award and Incentive Plan (the "Plan") with a grant date value of $700,000. The number of RSUs was determined by dividing $700,000 by the closing price of the Company's common stock on the grant date. The RSUs will vest in full on the third anniversary of the grant date, subject to the closing of the Transaction and will be settled in shares of the Company's common stock.
The following table sets forth the Transaction Incentive Awards approved for the Company's named executive officers:
