Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 23, 2025, John R. Lowden, a member of the Board of Directors (the “Board”) of Ingles Markets, Incorporated, a North Carolina corporation (the “Company”), notified the Company of his decision not to stand for re-election to the Board and that he would resign his directorship, effective December 31, 2025. Mr. Lowden has advised the Company that his resignation is for personal reasons.
