Tudor, a member of the Board of Directors (the “Board”) of Ingles Markets, Incorporated, a North Carolina corporation (the “Company”), notified the Company of her resignation from the Board and as a member of all committees thereof on which she serves. Ms. Tudor’s resignation will become effective on September 8, 2026. Ms. Tudor has advised the Company that her resignation is for family health reasons and is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Board plans to appoint an additional independent Board member to join the Audit Committee and elect a new Board member to fill the vacancy resulting from Ms. Tudor’s resignation on or prior to the effective date of Ms. Tudor’s resignation.
