Renewal of Advisory Agreement

On September 27, 2025, KBS Real Estate Investment Trust III, Inc. (the “Company”) renewed its advisory agreement with KBS Capital Advisors LLC (the “Advisor”). The advisory agreement renewal agreement extends the term of the current advisory agreement, as amended, through September 27, 2026. The advisory agreement may be renewed for an unlimited number of successive one-year periods upon the mutual consent of the Company and the Advisor. The advisory agreement may be terminated (i) upon 60 days’ written notice without cause or penalty by either the Company (acting through the Conflicts Committee) or the Advisor or (ii) immediately by the Company for cause or upon the bankruptcy of the Advisor.
