Here are the DEF 14A proxy statements from Kochav Defense Acquisition Corp. Units (KCHVU) in our archive over the last 12 months, newest first, and each one links through to the document itself with the summary and the scores our analysis gives it.
A DEF 14A covers the proxy statement, with executive pay and the shareholder votes, so if you follow KCHVU and want that one kind of document rather than the whole filing history, this is the page to keep. The company's other filings, of every form, are on the full KCHVU filings page.
Kochav Defense Acquisition Corp. is asking shareholders to extend its business-combination deadline from November 29, 2026 to November 29, 2027, or an earlier date set by the board, without a new Trust Account deposit. Shareholders are also asked to ratify WithumSmith+Brown, PC as 2026 auditor and approve an adjournment if extension votes are insufficient.
The Sponsor says it does not intend to make the existing payments for two three-month extensions: $2,530,000 per period, or $5,060,000 and $0.20 per Public Share in total. If approved, those payments would no longer be available; the Trust Account would increase only through interest, net of amounts withdrawn to pay taxes. Public holders may redeem for approximately $10.53 per share, based on an approximately $266.5 million Trust Account balance, both as of October 16, 2026. Holders who do not redeem forgo up to $0.20 per share of contemplated funding.
Approval requires at least two-thirds of votes cast. If the proposal is not approved and Kochav has not completed a business combination by November 29, 2026, it would cease operations, redeem 100% of Public Shares as promptly as reasonably possible but no more than 10 business days thereafter, subject to lawfully available funds, and liquidate. Kochav's quarterly financial statements for the period ended June 30, 2026 state that liquidity and mandatory liquidation provisions raise substantial doubt about its ability to continue as a going concern.
