Rhea-AI Filing Summary

Kenon Holdings Ltd. said its subsidiary OPC Energy Ltd. announced that CPV Generation Holdings, LLC, a wholly owned indirect subsidiary of CPV Group LP (71% owned by OPC), entered into an $825 million financing agreement. CPV Group LP holds 100% of the Shore and Maryland natural-gas-fired combined-cycle power plants, with capacities of 725 MW and 745 MW, respectively. The financing is non-recourse to CPV.

The $825 million principal comprises a $625 million term loan B, a $125 million letter of credit facility and a $75 million revolving credit facility. Proceeds are expected primarily to repay the plants’ existing project financing and fund an approximately $130 million dividend distribution to CPV at closing. The term loan matures on the seventh anniversary of closing and bears a SOFR-based interest rate plus a 2.5% spread. Closing is subject to conditions precedent; the financing is secured by first-ranking pledges over the projects and their assets, and a pledge over the borrower’s equity interests, and includes customary financial covenants.

Financing principal $825 million Principal amount of the financing agreement
Term loan B $625 million Component of the financing principal
Letter of credit facility $125 million Component of the financing principal
Revolving credit facility $75 million May be used for cash disbursements or letters of credit
Dividend distribution Approximately $130 million Expected at closing to CPV

Maryland plant capacity 745 MW Natural-gas-fired combined-cycle power plant
Term loan spread 2.5% Added to a SOFR-based interest rate
non-recourse financial
"which is non-recourse to CPV"
A non-recourse loan is a type of debt where the lender’s recovery is limited to a specific asset pledged as collateral, and the borrower cannot be personally pursued for any remaining balance if the asset’s value falls short. For investors, non-recourse financing shifts downside risk onto the lender and protects a borrower’s other assets, which can affect a company’s risk profile, borrowing costs, and potential returns — much like insurance that covers only the item left as collateral.
term loan B financial
"a $625 million term loan B"
A Term Loan B (TLB) is a large, syndicated loan made to a company that is typically sold to institutional investors rather than held by banks; think of it as a long-term mortgage from a group of investors with higher interest and smaller early payments. It matters to investors because it changes a company’s debt cost, repayment schedule and credit risk—factors that affect profit, cash flow and the market value of both the company’s equity and its traded debt.
SOFR-based interest rate financial
"equal to a SOFR-based interest rate plus a spread of 2.5%"
A SOFR-based interest rate is a borrowing cost tied to the Secured Overnight Financing Rate (SOFR), a market measure of what banks pay to borrow cash overnight using U.S. Treasury securities as collateral. Investors care because many loans, bonds and derivatives reset their payments based on this benchmark, so changes in SOFR alter interest income, borrowing costs and valuation—think of it as the thermostat that helps set how hot or cold financing costs are.
negative pledge financial
"including a negative pledge"
first-ranking pledge financial
"secured by a first-ranking pledge on each of the Projects"
A first-ranking pledge is a legal claim that gives one creditor top priority over a specific asset or group of assets pledged as security for a loan. If the borrower defaults or goes insolvent, the holder of a first-ranking pledge is first in line to seize or be paid from the pledged assets before other creditors, like being first in the queue at a repayment counter. For investors, it signals which lender has the strongest secured claim on particular collateral and therefore lower recovery risk relative to lower-ranked creditors.
