Rhea-AI Filing Summary

K&F Growth Acquisition Corp. II disclosed a proposed business combination with David’s Bridal and Pearl, its wedding-planning, media and commerce division, intended to make Pearl a standalone public company. Pearl’s proposed valuation is $350 million, and David’s Bridal CEO Kelly Cook would lead Pearl as CEO if the transaction closes. Pearl would own the David’s Bridal brand and intellectual property under the proposed structure.

Pearl launched in 2023 and offers agentic AI wedding planning alongside a marketplace connecting couples with wedding professionals; it also sells advertising and vendor subscriptions. Cook said Pearl’s margins are projected to exceed 30% this year and rise in 2027. David’s Bridal’s physical stores and operations are expected to continue as usual, and it is expected to remain a significant Pearl shareholder. If the parties enter definitive documentation, they would file a Form S-4 registration statement; shareholder approval and other closing conditions also apply.

Filing Explained

K&F’s extension vote is separate from Pearl approval, and the projected margin figure is unaudited.

Separately from the proposed Pearl transaction, K&F Growth Acquisition Corp. II had filed and mailed an extension proxy on or about October 16, 2026, seeking shareholder approval to extend its business-combination deadline; that vote concerns the deadline, not approval of Pearl.

The interview’s margin figure remains a projection: the filing says its forecasts were prepared by Pearl management in September 2026, and auditors had not audited, reviewed, compiled, or performed procedures on those projections for this communication.

Pearl margin rates Projected to exceed 30% This year; Cook said the margin rate rises in 2027

agentic AI technical
"agentic AI wedding planning ecosystem"
Agentic AI refers to computer systems that can make their own decisions and take actions without needing someone to tell them what to do each time. It's like giving a robot a degree of independence to solve problems or achieve goals on its own, which matters because it could change how we work and interact with technology in everyday life.
first-party data technical
"a large base of first-party data on brides"
First-party data is information a company collects directly from its own customers and users through interactions like purchases, website visits, app usage, subscriptions, or surveys. For investors it matters because this data is exclusive, typically more accurate and cost-effective than third-party sources, and helps the company target customers, predict sales, improve products, and comply with privacy rules — like a store’s loyalty list versus a bought mailing list.
business combination financial
"a potential business combination between the parties"
A business combination happens when two or more companies join together to operate as one, like two friends merging their teams into a single group. This is important because it can change how companies grow, compete, and make money, often making them bigger and more powerful in the market.
PIPE financial
"sufficient commitments for investment in a PIPE"
A PIPE (private investment in public equity) is a deal in which institutional or accredited investors buy shares or convertible securities directly from a publicly traded company, usually at a discount to the market price. Companies use PIPEs to raise money faster than through a traditional public offering; for existing shareholders they matter because the newly issued shares add to the share count and can dilute ownership.
Form S-4 regulatory
"registration statement on Form S-4"
A Form S-4 is a legal document that companies file with the government to announce and explain a major business move, such as a merger or acquisition. It provides detailed information to help investors understand how the deal might affect the company's value and future prospects, similar to a detailed blueprint that clarifies the impact of a significant change.

The following consists of an interview by CNBC’s The Exchange of Kelly Cook, Chief Executive Officer of David’s Bridal, Inc., on October 26, 2026 relating to Pearl, the wedding planning, media and commerce division of David’s Bridal, Inc.

Kelly Evans: Welcome back. David’s Bridal is headed for divorce — I’m sorry to tell you, but the bridal shop is planning to spin off its AI wedding planning platform, Pearl, into a public company next year. The platform offers agentic AI planning, streamlining appointments and communications for brides. David’s Bridal CEO, Kelly Cook, will become the CEO of the new public company once the deal closes, and she is here in studio to explain more about this. Kelly, it is great to have you here. Welcome, Kelly.

Kelly Cook:  To meet another Kelly, I love it.

Kelly Evans: We don’t often get to talk wedding dresses and AI, let alone in the same breath. So how did you guys end up with an AI business that you’re spinning off?

Kelly Cook: Well, let me tell you, here’s how it starts, Kelly. He gets down on one knee, he proposes, and she’s crying and happy. That lasts for 15 minutes, and then absolute panic sets in because she has to plan a wedding that is 300 steps long. It’s an 18-month journey. Our job was to de-stress that, and we tell our brides it’s all about your confidence and your dream. Confidence is going after Moby Dick in a rowboat and taking the tartar sauce with you. Okay, we want you confident, brides.

Kelly Evans: So I couldn’t handle this — so we just did a lunch. So I sympathize with the brides. This is true, we did a lunch. I was like, there’s no way I can take this on. So I sympathize with those who need these tools and don’t want the cost and hassle of trying to maybe go with a professional who’s going to do it one-on-one. But so what is Pearl? I mean, how long has this business existed, and how big is it, and what does it do? What are the financials like?

Kelly Cook: Sure. So here’s what Pearl is: Pearl is an agentic AI wedding and planning ecosystem, and it plans her wedding within minutes, Kelly. If you think about this business and this industry, it’s highly fragmented, it’s dying for modernization, and brides have had to use spreadsheets and tools and platforms. And not to mention, Kelly, it’s not just the bride — there’s hundreds of thousands of brands that are trying to serve that bride as well. You’ve got photographers and bakers and so forth, and we needed an ecosystem that took the stress out of that. And that’s what Pearl is. It actually plans her wedding within minutes. And not only that does it plan it — the agentic side of it actually takes actions for her. So, as an example, when her fiancé says, “I want to invite my cousins to the wedding,” she panics when she realizes there’s 47 of them and now the budget’s blown. And so Pearl’s agentic solution actually updates all those planning steps for her, as an example, if the budget changes.

Kelly Evans: I just find this fascinating, because obviously every company is going to need and want to have some aspect of agentic AI. You guys are just being very dynamic and responsive, and even spinning it out on its own, which is a big step. So I’d just like to hear more about how that came to pass and what your hopes are for it.

Kelly Cook: Sure. So when you look at the business that we built inside David’s — the Pearl business — it’s definitely time for us to take a proposed action like this, because we’ve got margin rates that exceed — that are projected to exceed 30% this year. That margin rate goes up in 2027. So when we looked at it, it was time for us to think about this rapidly growing business inside David’s Bridal. And David’s Bridal still has a remarkable piece of this, because there’s nothing as good as that moment where she’s in a store, Kelly, actually putting on the dress. So AI won’t replace that. So the companies have this commercial flywheel where you’ve got Pearl and the first-party insights that are exclusively about her wedding. If she wants cigar rolling at the wedding, we’ve got your plan. If you want warm cookies and ice-cold milk at the wedding, that’s her. So the first-party insights are exclusively about her. So there’s this flywheel between both companies, and the time is now for us to have a proposed transaction.

David’s Bridal Plans to Separate Its $350 Million Business. It Doesn’t Sell Wedding Dresses.

By Moses Jeanfrancois on October 26, 2026

The entity could soon become a publicly traded company. An expert says it represents a space that large retailers are continuing to invest in.

David’s Bridal is restructuring its business.

The company announced on Thursday a proposed business combination with SPAC K&F Growth Acquisition Corp. II to grow Pearl, its AI-powered wedding-planning tool. It plans to make Pearl a standalone, publicly traded company. Now, Pearl would own the David’s Bridal brand and its intellectual property.

Pearl, which launched in 2023, now has a proposed valuation of $350 million. By comparison, David’s Bridal’s was last valued at roughly $20 million in 2023 following a high-debt bankruptcy. At its peak, in 2012, David’s Bridal had a valuation of more than $1 billion.

The company said that its physical David’s Bridal stores and operations would continue as usual as it looks to maintain a long-term relationship alongside the new AI-powered venture. David’s Bridal is expected to remain a significant Pearl shareholder.

“Couples are already juggling a dozen vision boards, a group chat that never sleeps, and a seating chart that’s basically a peace treaty. They don’t need another tool. They need a completely new playbook. That’s what we’re building with Pearl,” Kelly Cook, CEO of David’s Bridal, told Inc. in a statement.

2

The company aims to combine Pearl’s agentic technology and proven business model with David’s Bridal’s strong brand and retail presence.

“We’re bringing technology, media and commerce together so planning feels less like a second job and more like the fun part it’s supposed to be. The proposed separation would give Pearl room to reach more couples, while letting David’s Bridal retail focus on what it does best,” Cook said.

Bigger market

Michael Trusov, a professor of digital marketing and analytics at the University of Maryland, told Inc. that part of the company’s strategy may center on its customer base.

“Pearl has a large base of first-party data on brides and already sells advertising and vendor subscriptions on it, but a platform owned by a dress retailer is constrained by the retailer’s interests,” he said.

“An independent Pearl can open every category to every vendor, including the retailer’s competitors, and becomes a more credible partner for third parties who would not buy from a company that sells against them. That is a much bigger market to monetize,” Trusov added.

Pearl has created its own identity as a digital marketplace. The platform integrates with MyRegistry to let couples collect gifts and cash, connects them with local wedding professionals, and gives vendors a place to communicate with soon-to-be newlyweds.

Trusov expects more companies to turn to digital data ventures in the future.

“Large retailers have been sitting on high-quality first-party data for years. Until recently, the main way to make money from it outside their own stores was to sell advertising against it,” he said. “AI changes that. The same data can now power products that customers actually use, like a planning assistant, and that vendors will pay for, like a qualified lead.”
