Rhea-AI Filing Summary

Kimberly-Clark Corporation extended the expiration date of its exchange offers for any and all outstanding notes issued by Kenvue, in exchange for up to $7.0 billion aggregate principal amount of new Kimberly-Clark notes. The deadline moved from 5:00 p.m. New York City time on October 27, 2026, to 5:00 p.m. on November 2, 2026. Settlement is expected promptly after the expiration date.

As of 5:00 p.m. New York City time on October 27, holders had tendered $1,478,069,000 of the $1,500,000,000 principal outstanding in Kenvue’s 5.050% Senior Notes due 2053, or 98.54%. For the 5.050% Senior Notes due 2028, $739,298,000 of $1,000,000,000 principal outstanding had been tendered, or 73.93%. Requisite consents to indenture amendments were received October 9, 2026; the amendments become operative only upon settlement. The new notes are being offered in a private transaction.

"up to $7.0 billion aggregate principal amount of new notes"
The aggregate principal amount is the total amount of money borrowed through a bond or loan that the borrower promises to repay. It’s like the original price tag on a loan or bond, showing how much money is involved in the deal. This number matters because it indicates the size of the debt and helps investors understand the scale of the borrowing.
indenture financial
"amendments to the indenture governing the Kenvue Notes"
An indenture is a legal agreement between a company that borrows money by issuing bonds and the people who buy those bonds. It explains the rules the company must follow, like paying back the money and keeping certain financial promises. This document helps both sides understand their rights and responsibilities.

Rule 144A regulatory
"qualified institutional buyers under Rule 144A"
Rule 144A is a regulation that makes it easier for companies to sell private bonds to large investors without going through all the usual rules that apply to public sales. It matters because it helps companies raise money more quickly and privately, often attracting big investors looking for special deals.
Regulation S regulatory
"outside the United States to non-U.S. persons in compliance with Regulation S"
Regulation S is a set of rules that allows companies to sell securities (like shares or bonds) to investors outside the United States without having to follow all U.S. securities laws.
