Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 20, 2025, Kemper Corporation (the “Company”) determined that Duane A. Sanders will depart from his role as Executive Vice President and Chief Claims Officer, P&C of the Company, effective October 22, 2025, and continue to serve as Executive Vice President, Executive Advisor until December 31, 2025 to help ensure a smooth transition of responsibilities.

In connection with Mr. Sanders’ termination by the Company without cause on October 22, 2025, the Company expects to enter into a Separation and Release Agreement pursuant to which he will receive certain compensation and benefits to be determined by the Company in exchange for Mr. Sanders’ execution of a release of claims and agreement to certain restrictive covenants in favor of the Company, which will be disclosed in a subsequent Form 8-K.
