Explanatory Note
This Amendment No. 1 on Form 8-K/A amends the Current Report on Form 8-K of Knowles Corporation (the "Company") filed with the U.S. Securities and Exchange Commission on April 29, 2026 (the "Original Form 8-K"). The Original Form 8-K reported the final voting results of the Company's 2026 annual meeting of stockholders held on April 28, 2026 (the "Annual Meeting"). The purpose of this amendment is to disclose the Company's decision regarding how frequently it will conduct future stockholder advisory votes to approve the compensation of the Company's named executive officers ("Say-On-Pay"). No other changes have been made to the Original Form 8-K.
Item 5.07. Submission of Matters to a Vote of Security Holders.
As previously reported in the Original Form 8-K, in a non-binding, advisory vote on frequency of future Say-On-Pay votes held at the Annual Meeting, the frequency of every year received the highest number of votes cast by stockholders (either in person or by proxy), consistent with the recommendation of the Company’s Board of Directors. Following the meeting, the Company’s Board of Directors determined that the Company will hold future Say-On-Pay votes on an annual basis until the next stockholder advisory vote on the frequency of Say-on-Pay votes, which will occur no later than the Company’s 2032 Annual Meeting of Stockholders.
