Item 1.01. Entry into a Material Definitive Agreement.

 

On September 21, 2026, Liberty Star Uranium & Metals Corp. (the “Company”) entered into a Securities Purchase Agreement (the “Securities Purchase Agreement”) with Monroe Street Capital Partners LP. (“Monroe Street”). Pursuant to the terms of the Securities Purchase Agreement, the Company agreed to issue a convertible promissory note (the “Note”) to Monroe Street in the principal amount of $95,700 which includes an original issue discount of 10% (the “OID”). Effective September 24, 2026, the Company issued a Note to Monroe Street consistent with the terms of the Securities Purchase Agreement. The Note bears interest at 8% and matures in one year from date of Agreement. Pursuant to the terms of the Note, the outstanding principal and accrued interest on the Note shall be convertible into shares of the Company’s common stock as set forth therein.
