Rhea-AI Filing Summary

LCI Industries (LCII) reported that its board unanimously determined that Monomoy Capital Partners’ unsolicited, non-binding proposal to acquire all outstanding shares for $101 per share in cash does not constitute a superior proposal and is not reasonably likely to lead to one. The board said LCI’s updated long-range plan, reflecting prevailing RV-industry headwinds, implies a midpoint standalone discounted cash flow value in excess of $150 per share. It also cited approximately $150 million in net run-rate cost synergies expected within three years of closing for the proposed merger with Patrick Industries.

LCI and Patrick remain on track to complete the merger in the first half of 2027, subject to stockholder approvals at both companies, required regulatory approvals, and other customary closing conditions. Under the previously announced agreement, LCI would first survive as Patrick’s direct wholly owned subsidiary and then merge into a second direct wholly owned Patrick subsidiary. LCI’s board continues to recommend the Patrick merger and encourages shareholders to vote “FOR” at the special meeting scheduled for November 18, 2026.

"unsolicited, non-binding proposal received from Monomoy Capital Partners"
superior proposal regulatory
"does not constitute a superior proposal"
A superior proposal is a competing offer to buy or merge with a company that is materially better than an existing deal, typically offering higher cash, stronger terms, or fewer conditions. It matters to investors because it can raise the expected payout or change deal certainty—like getting a higher bid at an auction, a superior proposal can increase share value or prompt renegotiation of the transaction.
midpoint discounted cash flow value financial
"implies a midpoint discounted cash flow value in excess of $150 per share"
net run-rate cost synergies financial
"approximately $150 million of net run-rate cost synergies"
Projected annual operating cost savings that a combined company expects to realize once integration actions are fully implemented, expressed on a run-rate basis and stated net of the one-time or ongoing costs required to achieve them. It is calculated by estimating the recurring expense reductions (for example, workforce eliminations, facility consolidations, and procurement efficiencies), subtracting implementation or recurring incremental costs tied to those savings, and annualizing the result; the figure is a forward-looking projection and typically refers to steady-state savings rather than temporary or transitional effects.
joint proxy statement/prospectus regulatory
"commenced mailing the definitive joint proxy statement/prospectus"
A joint proxy statement/prospectus is a single, combined document that both asks shareholders to vote on a proposed transaction and provides the detailed information required when new securities are being offered. Think of it as a combined ballot and product brochure that explains the deal, the companies’ finances, key risks and how ownership will change. Investors rely on it to understand the terms, evaluate risks and make informed voting and investment decisions.

LCI Board Determines that the Unsolicited, Non-Binding Proposal from Monomoy Capital Partners Does Not Constitute a Superior Proposal

LCI Industries Reiterates Support for Merger with Patrick

ELKHART, Ind. – LCI Industries (NYSE: LCII) (“LCI”), today announced that its Board of Directors, in consultation with its outside financial and legal advisors, has unanimously determined that the unsolicited, non-binding proposal received from Monomoy Capital Partners to acquire LCI for $101 per share in cash does not constitute a superior proposal and is not reasonably likely to lead to a superior proposal.

In reviewing Monomoy’s proposal, the Board of Directors carefully considered several factors and determined that a merger with Patrick Industries (NASDAQ: PATK) (“Patrick”) remains the best path towards long-term sustainable value creation for shareholders. Through its review, the LCI Board of Directors determined that Monomoy's proposal substantially undervalues LCI:

•On a standalone basis: Monomoy's proposal fails to reflect the fundamental value of LCI's standalone business. As part of the LCI Board of Directors’ review, LCI, with the assistance of its advisors, updated its long-range plan, including to reflect the prevailing headwinds in the RV industry. Based on that updated plan, the valuation analysis of LCI on a standalone basis implies a midpoint discounted cash flow value in excess of $150 per share—materially above Monomoy’s proposal of $101 per share.

•When evaluating Monomoy’s proposal against the value creation opportunity of the combination with Patrick: Compared to the compelling financial benefits of the combination with Patrick, Monomoy’s proposal is materially below the implied value of LCI’s shareholders pro forma ownership in the combined company, including the meaningful incremental value creation opportunity resulting from approximately $150 million of net run-rate cost synergies expected to be achieved within three years of closing and participation in the future growth prospects of a fundamentally stronger company with the firepower and flexibility to support continued investment in growth and capital returns.

LCI and Patrick are making continued progress toward closing and remain on track to complete the transaction in the first half of 2027, subject to approval by shareholders of both companies, the receipt of required regulatory approvals, and the satisfaction of other customary closing conditions.

In connection with the proposed transaction between LCI and Patrick, LCI and Patrick have both filed a supplement to their joint proxy statement/prospectus that contains updated information with the SEC which can be found on their respective investor relations websites. The LCI Board of Directors continues to recommend in favor of the Patrick transaction and encourages shareholders to vote their shares “FOR” the merger with Patrick at the Special Meeting scheduled for November 18, 2026.
