Filing Explained

LifeMD’s immediate commercial scope is 29 million customers in 11 states, while users still pay for care and prescriptions despite the waived membership fee.

LifeMD reports that it has entered an exclusive AT&T collaboration now beginning a phased rollout: 29 million AT&T customers in 11 states are first, with additional markets planned for January 2027, and enrolled customers receive the membership without its monthly fee.

The offer waives the $19-per-month membership charge only; customers still pay for visits, prescriptions, and other services they use.

Although the release describes more than 100 million eligible AT&T customers overall, its stated initial reach is 29 million in 11 states, so the larger figure is a potential program population rather than current rollout coverage.

The stated milestone for broader reach is the January 2027 expansion, when additional markets are expected to join.

Cumulative Perpetual Preferred Stock financial
"8.875% Series A Cumulative Perpetual Preferred Stock, par value $0.0001 per share"
A cumulative perpetual preferred stock is a share that acts like a long-lasting hybrid between a bond and a dividend-paying stock: it promises regular fixed payments that, if missed, accumulate and must be paid later before common shareholders get dividends, and it has no set maturity date. Investors care because it can provide steady, higher-priority income similar to interest, but with limited capital upside, sensitivity to interest rates, and the risk that payments can be delayed even though they continue to accrue.
Regulation FD regulatory
"Regulation FD Disclosure. On September 15, 2026, LifeMD, Inc. announced"
Regulation FD is a rule that prevents company insiders, like executives, from sharing important information with some people before others get it. It matters because it helps ensure all investors have equal access to key news, making the stock market fairer and reducing chances of insider trading.
forward-looking statements regulatory
"contains forward-looking statements within the meaning of the Private Securities Litigation Reform Act"
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.
telehealth medical
"risks related to the commercial launch and adoption of the program, changes in federal or state laws governing telehealth prescribing"
Telehealth is the delivery of healthcare services and consultations remotely using video calls, phone, text messaging, or connected devices to monitor and transmit medical information. It matters to investors because it can reshape how patients access care, lower costs, and create new revenue streams or risks for healthcare providers, insurers and technology companies—similar to how online banking changed financial services—while also exposing businesses to reimbursement and regulatory shifts.
Investors care because it can provide steady, higher-priority income similar to interest, but with limited capital upside, sensitivity to interest rates, and the risk that payments can be delayed even though they continue to accrue.
virtual care medical
"a leading virtual care and pharmacy services provider"
Healthcare services delivered remotely using video calls, phone, secure messaging, or connected devices that track symptoms and vital signs — essentially a virtual doctor’s visit or digital check-in instead of an in-person appointment. Investors watch virtual care because it can change how quickly a provider or tech company reaches more customers, cuts or shifts operating costs, and alters reimbursement and competitive dynamics, much like online banking reshaped how people access financial services.
