Rhea-AI Filing Summary

LEIFRAS Co., Ltd. agreed to sell 400,041 treasury ordinary shares to Oriental Land Innovations Co., Ltd. (OLI), a subsidiary of Oriental Land Co., Ltd., for JPY345 per share. LEIFRAS expects gross proceeds of approximately JPY138 million (US$0.87 million) before transaction expenses. The sale is expected to close on November 27, 2026, subject to satisfaction or waiver of closing conditions.

Separately, Kiyotaka Ito, LEIFRAS’s Representative Director and Chief Executive Officer, agreed to sell 4,723,000 of his ordinary shares to OLI; that transfer is also expected to close on November 27, 2026, subject to satisfaction or waiver of conditions. Following the additional investment, OLI’s shareholding and voting rights are each expected to be approximately 20%, and LEIFRAS is expected to become an equity-method affiliate of Oriental Land Co. OLI may nominate one director, subject to nominee suitability and shareholder approval, and appoint one non-voting board observer. LEIFRAS agreed to file an initial resale registration statement no later than the 45th calendar day following the Closing Date, covering OLI’s acquired shares, pre-existing holdings and certain additional shares acquired or issuable under the agreements.

Filing Explained

If completed, OLI’s treasury-share purchase would dilute existing holders, while the agreement also grants it specified corporate rights.

LEIFRAS has signed the investment agreement, but OLI’s purchase remains subject to closing conditions; if completed, moving 400,041 treasury shares into outstanding shares would reduce existing holders’ percentage ownership absent offsetting changes.

The agreement grants OLI preemptive rights, dilution protections, information rights and prior-consent rights over specified corporate actions, subject to its conditions, exceptions and ownership thresholds.

LEIFRAS says it intends to use the sale’s net proceeds for working capital and general corporate purposes, subject to restrictions in the agreements.

equity-method affiliate financial
"expected to become an equity-method affiliate of OLC"
A company in which another company has significant influence but not control, typically reflected by an ownership stake large enough to affect operating and financial policy (commonly 20%–50% of voting stock but also evidenced by board representation, material transactions, or policy influence). The investor accounts for this ownership using the equity method: the investment is carried on the investor’s balance sheet at cost adjusted over time for the investor’s share of the affiliate’s profits and losses and reduced by dividends received, rather than being consolidated line-by-line with the investor’s financial statements.
preemptive rights financial
"grants OLI preemptive rights"
A shareholder's preemptive rights are contractual or legal rights to buy new shares first when a company issues more stock, so existing owners can maintain their percentage ownership and voting power. Think of it like getting first dibs on extra slices when a pie is cut again: it limits dilution of ownership and influence by letting current holders purchase enough new shares to keep their stake from shrinking.
dilution protections financial
"preemptive rights, dilution protections, information rights"
resale registration statement regulatory
"file an initial resale registration statement"
A resale registration statement is a document filed with regulators that allows existing shareholders to sell their shares to the public. It provides the necessary legal approval and information for these shares to be resold on the market, helping to increase the availability of shares for trading. For investors, it signals that shares held by current owners can be offered for sale, potentially affecting share prices and market liquidity.
Regulation S regulatory
"made in reliance on Regulation S"
Regulation S is a set of rules that allows companies to sell securities (like shares or bonds) to investors outside the United States without having to follow all U.S. securities laws. It matters because it makes it easier for companies to raise money from international investors while still complying with U.S. regulations.
