(the “Company”) of their decision to resign from the Board of Directors (the "Board") of the Company effective January 9, 2026.  In connection with their resignations, Mr. Kramer and Mr. Finley will no longer serve as members of the Nominating and Corporate Governance Committee and Acquisition Committee of the Board. Mr. Kramer’s and Mr. Finley’s resignations did not result from any disagreement with the Company on any matter relating to the Company's operations, policies or practices.
