Rhea-AI Filing Summary

MediWound Ltd. (MDWD) entered into an underwriting agreement for the issuance and sale of 1,200,000 ordinary shares at a public offering price of $12.50 per share. On November 4, 2026, H.C. Wainwright & Co., LLC exercised in full its option for an additional 180,000 shares on the same terms; its purchase price is $12.09 per share, reflecting a blended underwriting discount. The offering is expected to close on or about November 5, 2026, subject to customary closing conditions. Gross proceeds, including the option shares, are expected to be approximately $17.25 million before discounts, commissions and estimated offering expenses. Net proceeds are intended primarily for working capital and general corporate purposes. MediWound agreed to reimburse $100,000 in underwriter legal fees, pay $25,000 for non-accountable expenses and $15,950 for clearing costs; it may, in its sole discretion, pay a one-time performance bonus of up to $500,000. The company and its directors and executive officers are subject to lock-up restrictions, subject to exceptions, from the underwriting agreement date through the 60th day following the final prospectus supplement.

Filing Explained

The agreement covers a sale of 1,200,000 shares plus the fully exercised 180,000-share option, but closing remains subject to customary conditions; if completed, the additional shares would increase the share count and reduce existing holders’ percentage ownership, absent offsetting changes.

shelf registration statement regulatory
"pursuant to the Company’s “shelf” registration statement"
A shelf registration statement is a document a company files with regulators that allows it to sell shares or bonds quickly when it’s a good time to raise money. It’s like having a pre-approved plan ready so the company can act fast without going through lengthy paperwork each time they want to sell, making fundraising more flexible.
prospectus supplement regulatory
"a final prospectus supplement dated November 3, 2026"
A prospectus supplement is an additional document provided alongside a company's main offering details, offering updated or extra information about a specific financial product being sold. It helps investors understand the latest terms, risks, and details of the investment, similar to how an update or revision clarifies or expands on original instructions, ensuring they have current and complete information before making a decision.
lock-up agreement financial
"each of the Company’s directors and executive officers has entered into a lock-up agreement"
A lock-up agreement is a contract that prevents company insiders and early investors from selling their shares for a fixed period after a stock sale, often after an initial public offering. It matters to investors because it temporarily limits the number of shares that can hit the market, which can keep the share price steadier; when the lock-up ends, a sudden increase in available shares can create extra volatility, revealing insiders’ confidence or lack thereof.
