Rhea-AI Filing Summary

MidCap Financial Investment Corp. (MFIC) is the target of a pending acquisition by Ares Capital Corporation (ARCC). In an October 29, 2026 interview, ARCC Director and Executive Vice President Michael Arougheti described ARCC as trading close to book value and said it could deliver an attractive premium to MFIC shareholders. He said ARCC shareholders would be able to buy a diversified book of 200-plus names accretively, with a little support from Ares Management. Completion is subject to MFIC stockholder approval and other conditions, including any required regulatory approvals; the communication identifies risks that could delay or prevent closing.

Filing Explained

The number of ARCC shares to be issued if the pending deal closes will be affected by MFIC’s special dividend, ARCC’s NAV per share and ARCC’s stock price; a forthcoming registration statement and proxy statement/prospectus will provide further transaction information.

Portfolio names 200-plus names Diversified book Arougheti said ARCC shareholders could buy
BDC financial
"our BDC – which is the largest publicly traded BDC"
A business development company (BDC) is a publicly traded investment firm that lends to and takes ownership stakes in small- and mid-sized private companies that often can’t get traditional bank loans. Like a neighborhood lending pool or venture backer you can buy shares in, a BDC can offer higher dividend income but also carries greater credit and economic risk, so investors focus on the quality of its loans, portfolio companies and payout sustainability.
book value financial
"ARCC, which is trading close to book value"
Book value is a company’s total assets minus its total liabilities as reported on the balance sheet; it represents the net accounting value that would remain for shareholders if the business sold its assets and paid off its debts. Investors use it as a benchmark to judge whether a stock looks cheap or pricey compared with that accounting baseline—like comparing a car’s resale “book” value to the price someone asks—and to assess firms with lots of tangible assets or potential liquidation value.
accretively financial
"buy a diversified book of 200-plus names accretively"
net investment income financial
"future operating results and net investment income projections"
Net investment income is the money an investor or fund actually keeps from its investments after subtracting the costs of running those investments (like management fees, interest, and losses). Think of it as your paycheck from owning assets: gross returns minus the bills needed to earn them. Investors watch it because it shows how profitable the investment activities are, influences dividend payouts and cash available for growth, and helps compare true performance across funds or companies.
regulated investment company regulatory
"as a regulated investment company under Subchapter M of the Code"
A regulated investment company is a type of pooled investment (like a mutual fund or ETF) that meets specific tax-law rules allowing it to pass most income, gains and losses directly to shareholders instead of being taxed at the company level. For investors this matters because it affects how distributions are taxed, how often income is paid, and the overall net return—think of it like a collective account that funnels earnings straight to owners rather than keeping profits inside a separate corporate layer.

FILED BY ARES CAPITAL CORPORATION

PURSUANT TO RULE 425 UNDER THE SECURITIES ACT OF 1933

AND DEEMED FILED PURSUANT TO RULE 14a-12

UNDER THE SECURITIES EXCHANGE ACT OF 1934

SUBJECT COMPANY: MIDCAP FINANCIAL INVESTMENT CORPORATION

COMMISSION FILE NO. 814-00646

The following is an excerpt relating to the pending acquisition of MidCap Financial Investment Corporation (“MFIC”) by Ares Capital Corporation (“ARCC” or the “Company”) from a transcript of an interview with Michael Arougheti, Director and Executive Vice President of ARCC, held on October 29, 2026:

David Faber: And now MFIC—

Mike Arougheti: It’s interesting. You go back, we, we did IPO ARCC – our BDC – which is the largest publicly traded BDC, in 2004. And at the time there were three large BDCs: Allied Capital, American Capital Strategies, and AINV, which is now MFIC. Fast forward 22 years, Ares Capital Corporation has actually acquired and integrated those three, those three platforms.

I think what we have done differently, David, is we’ve been doing it longer than most. So we’ve just accumulated a set of competitive advantages in origination and our relationship network, the diversification and size of our portfolios, the amount of resources that we can put behind portfolio management and technology. And so the benefits of scale are definitely showing through.

And when you get into a market like the one that we’re in now, ARCC, which is trading close to book value, is able to go in and deliver a really attractive premium to the MFIC shareholder. And with a little bit of support from Ares Management, ARCC shareholders are able to buy a diversified book of 200-plus names accretively. So it was really a nice win for Apollo, win for Ares, and win for the ARCC shareholders.
