Director Resignation

On April 14, 2026, Howard Widra notified the Board of Directors (the “Board”) of MidCap Financial Investment Corporation (the “Company”) that, in connection with his previously announced retirement from Apollo Global Management, Inc., his resignation as director and Executive Chairman of the Board would now be effective at the close of business on June 18, 2026. Mr. Widra also notified the Board that he would not stand for re-election at the Company’s 2026 annual meeting of stockholders. Mr. Widra’s decision to resign and not stand for re-election is not because of a disagreement with the Company, its investment adviser, the Board or their affiliates regarding their operations, policies, practices or otherwise.
