Rhea-AI Filing Summary

Megan Holdings Ltd. (MGN) completed a reasonable best-efforts public offering on October 29, 2026, issuing 15,000,000 Class A ordinary shares at US$0.50 per share for approximately US$7.5 million in gross proceeds, before placement-agent fees and other offering expenses. Megan intends to use net proceeds approximately 60% for business ventures and acquisitions and 40% for general working capital.

Purchasers may participate in up to 30% of certain subsequent capital-markets financings during the six months after closing. Megan agreed to pay exclusive placement agent Prime Number Capital, LLC a 6.0% cash fee and a 1.0% non-accountable expense allowance, and reimburse certain expenses up to $100,000. For six months, Megan also agreed not to issue Class A shares or conduct capital-raising transactions without the agent’s prior written consent, subject to stated exceptions; the agent has a six-month right of first refusal covering at least 80% of the economics of specified financings, subject to exceptions. Officers, directors and certain shareholders agreed to 180-day lock-ups.

reasonable best efforts financial
"in a reasonable best efforts public offering"
A contractual standard that obligates a party to take diligent, commercially sensible steps to accomplish a stated objective but stops short of an absolute guarantee; the party must try reasonably hard and act in good faith, using available resources and customary methods, but is not required to take extreme, impractical, or ruinous measures to succeed. In practice the phrase sits between stricter formulations (e.g., “best efforts,” which courts often interpret as requiring very vigorous attempts) and looser ones (e.g., “reasonable efforts”), and its exact scope can depend on the contract language and governing law, so it does not impose unlimited liability or force actions that would be commercially unreasonable.
non-accountable expense allowance financial
"a non-accountable expense allowance equal to 1.0%"
right of first refusal financial
"an irrevocable right of first refusal"
A right of first refusal gives an existing shareholder or party the chance to buy an asset or shares before the owner can sell them to someone else. Think of it like being offered the first option to buy a house when the owner decides to sell; it matters to investors because it can limit who can acquire a stake, slow or block transactions, and affect the price and liquidity of an investment by restricting open-market sales or new buyers.
tail fee financial
"a tail fee equal to the cash placement fee"
lock-up agreements financial
"entered into lock-up agreements"
A lock-up agreement is a contract that prevents company insiders—founders, employees, and early investors—from selling their shares for a set period after a public stock offering. It matters to investors because it keeps a large block of shares off the market temporarily; when the lock-up ends, those holders can sell and this increased supply can cause the stock price to fall, similar to a timed release that suddenly opens a valve.
