Diamond, Senior Vice President of Sales, Check Verification and one of the Company’s named executive officers for fiscal year 2026, will terminate on December 8, 2026. Mr. Diamond will receive separation benefits in connection with a termination without cause as provided for in the Company’s Executive Severance and Change of Control Plan, a copy of which has been previously filed with the Securities and Exchange Commission.
